SUBJECT: CONSULTANT SERVICES AGREEMENT FOR CONSTRUCTION
OVERSIGHT AND INSPECTION SERVICES FOR PHASE I OF THE
DISTRICT (VESTAR/KIMCO TUSTIN) OFF SITE BACKBONE
INFRASTRUCTURE AT TUSTIN lEGACY (PARK AVENUE AND
PORTIONS OF WARNER AVENUE, BARRANCA PARKWAY, NORTH
lOOP ROAD, AND TUSTIN RANCH ROAD)
SUMMARY
The Agreement between the City and Jacobs Civil Inc. will provide construction oversight
and inspection services for construction of Phase I of The District Off Site Backbone
Infrastructure at Tustin legacy (Park Avenue and portions of Warner Avenue, Barranca
Parkway, and Tustin Ranch Road). Construction Oversight Personnel will include the
services of a Construction Oversight Manager, inspectors, and various support personnel.
RECOMMENDATION
It is recommended that the City Council approve a Consultant Services Agreement with
Jacobs Civil, Inc. to provide construction oversight and inspection services for construction
of Phase I of The District Off Site Backbone Infrastructure at Tustin Legacy in the not to
exceed amount of $1,746,377.00, and authorize the Mayor and City Clerk to execute the
Agreement on behalf of the City, subject to approval as to form by the City Attorney. It is
also recommended that the City Council appropriate $205,626.00 from the Tustin legacy
Redevelopment Agency Fund to CI P No. 7169 (The District at Tustin legacy) for the
construction oversight services on this project.
FISCAL IMPACT
Pursuant to the Infrastructure Construction and Payment Agreement between the City of
Tustin and the Developer, Vestar/Kimco Tustin, inspection services for the construction of the
off site backbone infrastructure will be funded through fees collected from the Developer.
Inspection services are estimated to be $1,540,751.00 and were included in the backbone
infrastructure cost estimates prepared for the District Project. Construction oversight services
are estimated to be $205,626.00. This cost is less than 1 % of the apparent low bid for
construction of Phase I of The District Off Site Backbone I nfrastructu re. Cost for construction
oversight services will be funded from the Tustin legacy Redevelopment Agency funds
through an appropriation to CIP No. 7169 (The District at Tustin Legacy).

The City has entered into an Agreement with the Irvine Ranch Water District (IRWD) for
reimbursement of costs related to construction of their portion of backbone facilities for The
District Project. Per that Agreement, IRWD will be responsible for funding construction
oversight and inspection services related to their facilities.
BACKGROUND
Phase I of the proposed project involves construction of streets, traffic signals, parkways,
sidewalks, storm drains, water, reclaimed water, sewer, and dry utility backbone
infrastructure improvements on Tustin Ranch Road between Barranca Parkway and Warner
Avenue; on Warner Avenue between Tustin Ranch Road and Park Avenue; on Park Avenue
between Warner Avenue and Tustin Ranch Road; and on a portion of North Loop Road
between Warner Avenue and the Jamboree RoadNVarner Avenue ramp. Also, as part of
the Phase I improvements, sewer and water facilities will be constructed on Barranca
Parkway between Jamboree Road and Tustin Ranch Road.
DISCUSSION
Construction of this project will require the services of a Construction Oversight Manager
and multiple inspectors for support. In addition, the construction oversight team will be
supplemented with staff to perform cost analyst functions, scheduling, quality control, and
safety activities.
The Developer has retained Bayley Slater, a Construction Management Company, to
manage their interests in the project. Since the project involves reimbursement of funds for
the construction of public facilities, the City needs to provide a level of oversight and control
of the construction activity and related costs. The contract Construction Oversight Manager
and contract Inspector will be responsible for overseeing the construction to ensure that the
project is constructed per City standards and in conformance with the "Infrastructure
Construction and Payment Agreement" between Vestar/Kimco Tustin loP. and the City,
approved by City Council on March 21, 2005. The contract Construction Oversight Manager
will coordinate the construction activities of all aspects of the project under the oversight of
the City's Engineering Division.
Staff has conducted a selection process for construction oversight and inspection services
for this project. Proposals were received from two firms experienced in managing large
complex construction projects. Both firms were invited for oral interviews. Based upon
evaluation of each firm's proposal and performance during the oral interview process,
Jacobs Civil, Inc. was selected because of their thorough understanding of the work scope
and extensive experience in managing projects of this magnitude.

The proposal and cost estimate submitted by Jacobs Civil, Inc. includes separate
itemizations for construction oversight and inspection services. All personnel assigned to
this project by Jacobs Civil, Inc. will be compensated on an hourly basis for providing these
services. The number of person-hours proposed by Jacobs Civil, Inc. is reasonable for the
complexity and magnitude of this project.
It is, therefore, recommended that the City Council approve the Consulting Services
Agreement with Jacobs Civil, Inc. for construction oversight and inspection services on
Phase I of The District Off Site Backbone Infrastructure at Tustin Legacy (Park Avenue and
portions of Warner Avenue, Barranca Parkway, North Loop Road, and Tustin Ranch Road),
subject to approval as to form by the City Attorney.

CONSULTANT SERVICES AGREEMENT
THIS AGREEMENT FOR CONSULTANT SERVICES, is made and entered into
this - day of , 2006, by and between the CITY OF TUSTIN, a municipal
corporation, hereinafter referred to as "City", and Jacobs Civil, Inc., a Missouri
Corporation, hereinafter referred to as "Consultant".
RECITALS
WHEREAS, City requires the services of a consultant to furnish the necessary
professional construction oversight and inspection services for The District Offsite
Backbone Infrastructure at Tustin Legacy hereinafter referred to as "Project"; and
WHEREAS, Consultant has submitted to City a proposal dated December 5, 2005,
and proposed Budget Detail dated February 6, 2006, copies of which are attached hereto
marked as Exhibit "A" and is by this reference incorporated into this Agreement; and
WHEREAS, Consultant is qualified to provide the necessary construction oversight
and inspection services for the Project and desires to provide said services to City; and
WHEREAS, City desires to retain the professional services of Consultant for said
Project.
NOW, THEREFORE, for the consideration and upon the terms and conditions
hereinafter set forth, the parties agree as follows:
AGREEMENT
Section 1: Scope of Consultant's Services
Consultant shall perform all work necessary to complete in a manner satisfactory
to City, the services set forth in Exhibit "A" in accordance with the terms and conditions of
this Agreement.

Section 2: Order of Precedence
In the event of a conflict between or among any of the documents comprising this
Agreement, the following order of precedence shall govern the provision in question:
1. This Agreement
2. Consultant's Proposal (Exhibit "A")
Section 3: Time for Completion
The time for completion of the work to be performed by Consultant is an essential
condition of this Agreement. Consultant shall prosecute regularly and diligently the work
of this Agreement according to reasonable schedules established by the City for various
items described and as outlined within Consultant's proposal. Consultant shall not be
accountable for delays in the progress of its work caused by any condition beyond its
control and without the fault or negligence of Consultant.
Section 4: Compensation
The compensation to be paid under this Agreement shall be as set forth in Exhibit
"A", which shall not exceed a total cost of $1.746.377.00.
B.
Consultant shall submit detailed invoices, based upon the actual work performed
accompanied by backup documentation as requested by the City.
C.
Progress payments for work completed shall be paid by City as the work
progresses, within thirty (30) days of the date of Consultant's invoice.
D.
Consultant shall provide City with a monthly itemization of all work performed, and
the fees accrued thereon, in complete and sufficient detail to fully apprise City
thereof.
City shall notify Consultant within ten (10) business days after receipt of an invoice
if it disputes all or some element of the invoice. City and Consultant shall promptly
attempt to effect a resolution of any dispute. Not withstanding the foregoing, City
shall pay the undisputed portion of any invoice.

Section 5: Independent Contractor
Consultant's relationship to City in the performance of this Agreement is that of an
independent contractor. Consultant's personnel performing services under this
Agreement shall at all times be under Consultant's exclusive direction and control and
shall be employees of Consultant and not employees of City. Consultant shall pay all
wages, salaries and other amounts due its employees in connection with this Agreement
and shall be responsible for all reports and obligations respecting them, such as social
security, income tax withholding, unemployment compensation, workers' compensation
and similar matters.
Section 6: Indemnification
Consultant agrees to indemnify, defend and hold City, its officers, agents,
employees, successors and assigns harmless from any loss, damage, injury, sickness,
death, or other claim made by any person and from all costs, expenses and charges
including attorney's fees caused by or arising out of Consultant's, its officers', agents',
subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or
willful misconduct, or conduct for which the law imposes strict liability on Consultant in the
performance or failure to perform this Agreement except as caused by active negligence,
sole negligence or willful misconduct by the City.
A.
Section 7: Insurance
Consultant shall maintain in full force and effect during the term of this Agreement
policies of commercial general liability and automobile liability insurance (each of
which shall include property damage and bodily injury) and each with limits of at
least $1,000,000 combined single limit coverage per occurrence.
B.
Consultant shall maintain in full force and effect during the term of this Agreement
a policy of professional liability insurance coverage with limits of at least
$1,000,000 combined single limit coverage per claim or per occurrence. If
Consultant provides claims made professional liability insurance, Consultant shall
also agree in writing either (1) to purchase tail insurance in the amount required by
this Agreement or to cover claims made within five (5) years of the completion of
Consultant's service under this Agreement, or (2) to maintain professional liability
insurance coverage with the same carrier, or with an equivalent carrier in the
amount required by this Agreement for at least five (5) years after completion of
Consultant's services under this Agreement. Consultant shall also provide
evidence to the City of the purchase of the required tail insurance or continuation
of the professional liability policy by executing the attached Letter Agreement on
Consultant's letterhead.

A.
Consultant shall carry and pay for such workers' compensation insurance as is
required to fully protect Consultant and its employees under California Worker's
Compensation Insurance Law. The insurance company shall agree to waive all
rights of subrogation against the City for losses paid under the policy, which losses
arose from the work performed by the named insured.
D.
Other applicable insurance requirements are: (1) Name the City, its officials and
employees as an additional insured on the commercial general liability and
automobile liability insurance policies. (2) The insurance shall be issued by a
company authorized by the Insurance Department of the State of California and
rated A, VII (seven) or better (if an admitted carrier) or A-, X (ten) or better (if
offered by a surplus line broker), by the latest edition of Best's Key Rating Guide,
except that the City will accept workers' compensation insurance rated B-, VII
(seven) or better, or from the State Compensation Fund. (3) The Insurance shall
not be cancelled, except after thirty (30) days written prior notice to the City; and
(4) The commercial general liability and automobile liability insurance shall each
be primary as respects the City, and any other insurance maintained by the City
shall be in excess of this insurance and not contribute to it.
E.
Upon execution of this Agreement, Consultant shall provide to City certificates of
insurance and insurer endorsements evidencing the required insurance. Insurer
endorsements (or a copy of the policy binder if applicable) shall be provided as
evidence of meeting the requirements of Subsections (1)(3) and (4) of Section 7D
above and the waiver of subrogation requirement in Section 7C above. If self-
insured for worker's compensation, Consultant shall submit to City a copy of its
certification of self-insurance issued by the Department of Industrial Relations.
Section 8: Termination of Aareement
B.
City and Consultant shall each have the right to terminate any or all of the services
covered by this Agreement at any time for any reason by giving ten (10) business
day written advance notice to the other party.
Upon termination of this Agreement, Consultant shall be paid for services
rendered by the effective date of the termination.
C.
Upon termination of this Agreement or completion of the Project, all documents
relating to the Project shall become the sole property of City. Should City terminate
this Agreement pursuant to subparagraph A. of this Section, Consultant shall,
within ten (10) business days of receipt of notice of termination, provide City with
all documents within Consultant's possession relating to this Agreement and the
Project, including but not limited to all completed documents and all drafts of
uncompleted documents.

Section 9: Notices
Any notice allowed or required to be given shall be effective upon personal
delivery thereof, or upon depositing thereof in the United States Postal Service, certified
mail, return receipt requested, postage prepaid, addressed as follows:

Section 10: Miscellaneous Provisions
A.
Consultant shall proceed immediately and diligently to perform the services
provided for in this Agreement upon receipt of notice from City to proceed
therewith.
B.
No part of this Agreement may be assigned by Consultant without the prior written
approval of City.
This Agreement shall extend to and be binding upon and inure to the benefit of
heirs, executors, administrators, successors and assigns of the respective parties
hereto.
C.
D.
Consultant shall perform all services required under this Agreement using that
degree of care and skill ordinarily exercised under similar conditions in similar
localities, and shall be responsible for all errors and omissions for services
performed by Consultant under the terms of this Agreement.
E.
Consultant certifies that there shall be no discrimination against any employee
who is employed in the work covered by this Agreement, or against any
application for such employment, because of race, religion, color, sex, or national
origin including but not limited to, the following: employment, upgrading, demotion
or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of
payor other forms of compensation, and selection for training, including
apprenticeship.
F.
This Agreement shall be interpreted in accordance with California Law. The
parties agree that the Orange County Superior Court is the exclusive venue for
any lawsuits by either party regarding this Agreement.

G.
Notwithstanding any other provision to the contrary in this Agreement, in no event
shall the total cumulative aggregate liability of Consultant resulting from, arising
out of or in connection with the performance or nonperformance of any or all work,
whether based on delay, contract, tort, negligence, strict liability, warranty,
indemnity, error and omission or any other cause whatsoever exceed two hundred
percent (200%) of the fee paid Consultant pursuant to this Agreement or extend
beyond the completion of work performed under this Agreement. The remedies
stated in the Agreement are City's sole and exclusive remedies for any failure by
Consultant to comply with the obligations.
IN WITNESS WHEREOF, this Agreement was executed by the parties on the day

Bill has over 37 years of experience as a projecVconstruction management, chief estimator, procurement

San Diego Ballpark Infrastructure Project
We provided design and construction management for the $41 million
ballpark and related infrastructure project. Our role involved managing
contracts for demolition, sewers, water lines, utilities, street paving,
parking lots, and a 1 ,ODD-space parking structure. Contract add-ons
included investigating and removing hazardous waste, as well as self-
performing various construction duties. Soil conditions presented a
significant challenge to the team as contamination required an expedited
work process. The project also involved property acquisition elements.
The project included a 350 linear foot jack and bore beneath MTDBI
BNSF rail right of way.
We had a full time scheduler on site working closely with the City and the
Padres so the program master schedule was sure to be met. We were
further able to control schedule by implementing strong CM principles
such as putting out bids with an accelerated 1 D-day bid period.
Our proactive approach and strong communication tactics resulted in
effective claims mitigation. We further found ways to maximize funding,
keeping work flowing months beyond what the available funds would
normally allow.
Using the right CM tools in the general and special conditions, as well as
tight change order cost management, we earned the maximum $1 million
shared cost savings award.
Bi-weekly coordination meetings were held with SDG&E for the
installation of a new power grid for the area.

the MWWD Capital Improvement Program from 1991 through 2003.
Services included design review for constructibility and biddability;

We responded to the rapid growth of the City of Palmdale, California,
and provided total day-to-day management of the design and
construction of infrastructure improvements supporting three new major
commercial developments within the City.
Upon notice to proceed, we mobilized and had key staff members on-
site within 72-hours. We provided technical and administrative services
required to manage the development design, construction plans, cost
estimates, specifications, and right-of-way documents necessary for
completing the projects. Construction management, including inspection,
was also performed. Project control, including scheduling and
cost control, was provided by the implementation of our computerized
management information system (MIS).
There were 30 separate construction contracts being programmed for
fast track completion.

Lake Hodges Projects - Construction Management, San Diego,
California
Total Project Value: $80 Million
We have been retained by San Diego County Water Authority to provide
construction management and inspection services for The Lake Hodges
Projects. The project includes a water conveyance pipeline, tunnels,
shafts, access facilities, a power transmission line, substation, and a
pump-turbine facility. The completed facility is intended to allow the
movement of water between lakes Hodges and Olivenhain to provide
for emergency water storage and to generate power. The tunnel is a 12-
foot diameter high-pressure water transmission tunnel, with a 600-foot
vertical shaft and approximately 6,100 feet of horizontal run in hard rock
connecting two lakes. Up to 40 megawatts will be generated making use
of the head differential between the two lakes.
US Navy Comprehensive Long-Term Environment Action
Navy (CLEAN)
The EI Toro, California Marine Air Station (NPL site) involved RI/FS work
at 21 individual identified sites as required by the base Federal Facilities
Agreement (FFA). Jacobs held a separate contract for RCRA Facility
Assessment (RFA) at four additional base sites, identified in the EI Toro
RCRA Facility Assessment (RFA) Preliminary Site Inspection.
Additional task order assignments on the program included RFAs at
four additional sites including evaluation of solid waste management
units, preparation of sampling visit work plans, quality assurance
project plans, and health and safety plans; spill prevention, control, and
countermeasures (SPCC) plans/environmental compliance assessments
and air toxics studies; and community relations plans and programs.
The project has involved the implementation of program-wide quality
assurance and health and safety programs (including personal protective
equipment from Level 0 to level B); comprehensive computerized data
management and analysis; and program planning, scheduling, and
controls that are fully responsive to DaD requirements.
We provided oversight for the implementation of a site inspection plan
prepared for the Marine Corps Air Station in Tustin, California.

PROJECT UNDERSTANDING
The City of Tustin requires construction management and inspection
services for the Vestar Project (District). The District is a retail project
that will be located at the northwest corner of Jamboree Road and
Barranca Parkway and is part of the master planned community of Tustin
Legacy.
The District project will be constructed in two phases. Phase One will
include a central lifestyle component. The anchor will be a 250,000
square foot AMC megaplex movie theater complex with fourteen state-
of-the art screens and at least 3,000 upscale stadium seats. Surrounding
the movie theater will be restaurants, bistros, and cafes along with
entertainment and specialty retail venues. Free standing retail and dining
pads will be located adjacent to the lifestyle component. Phase One
will also include large in-line commercial stores such as Target, Whole
Foods, T J Maxx &More, Petsmart, Office Depot, and Tilly's. Costco and
Lowe's have announced they will take occupancy in Phase Two of the
project. Phase One of the District is set to open in the fall of 2006.
The City of Tustin and Vestar/Kimco Tustin entered into an Infrastructure
Construction and Payment Agreement. Vestar /Kismo agreed to design
and construct certain infrastructure improvements, including a portion
of the Tustin Legacy Backbone Infrastructure Program, and to pay
the Project Fair Share Contribution with respect to the Tustin Legacy
Backbone Infrastructure Program.
The following improvements will be constructed as part of the
Infrastructure Construction and Payment Agreement.
Roadways
Roadway improvements will be made to portions of Barranca Parkway,
Tustin Ranch Road, South Loop Road, Warner Avenue, and Jamboree
Road within the project limits. These improvements will include curbs,
gutters, pavement, median modification, sidewalks, landscaping, signing
and striping, storm drains, dry utilities (electric, gas, telephone, cable,
etc...), and streetlights.

Drainage improvements will be made to portions of the Barranca

PROJECT APPROACH
We successfully managed a twenty-six-city block design build $41 million
infrastructure project for the City of San Diego's Ballpark Infrastructure
Project. The work included demolition and clearing of all of 26 city
blocks; the removal of contaminated soils; the installation of new dry
and wet underground utility systems; the construction of downtown
streets on new alignments; the reconstruction and resurfacing of existing
streets; survey coordination; final maps; parking IDt construction; and
"streetscape" improvements including widened, colored and textured
sidewalks, special lighting and the planting of palm and deciduous street
trees. The project also includes track and switch modifications with a
major roadway alignment change to an at-grade crossing of the multiple
rail tracks serving the BNSF railroad, the San Diego Trolley, the Coaster,
and the SD&IV railroad.
The design build/ construction management project has many similarities
to the Vestar project construction management and inspection services
scope of work.
Our role is to provide qualified personnel to perform Construction
Management (CM) services during the pre-construction and cDnstruction
phases of the project. The CM services include cDnstructability review,
field inspection, labor compliance, contract administration and quality
assurance.
We are aware of the City's requirement for quality and cost control
and have experienced staff to coordinate reviews of your design
drawings and contractor methods with quality and cost in mind. We are
experienced with responding quickly to changes in the work or schedule
brought on by either the City or the contractor. When the need arises
to achieve consensus with stakeholders we use inter-active planning

sessions to resolve issues and keep the team on track and can provide
more information regarding this successful tool.
Preconstruction Phase
The CM will perform a constructibility review of site civil drawings
including traffic signals, street lights, subgrade preparation, base, asphalt
paving, curb, gutter, sidewalks, striping and SWPPP. We will review the
estimates prepared by Tustin or contractors. The constructibility review
will also highlight areas where alternate cost effective construction
methods or materials benefiting the City with present construction
savings or long term maintenance of the work in the right of way could
be used.
Our review of the plans and specifications will always focus on the value
engineering aspects of the work and we will recommend changes to
reduce costs and maintain a quality project or improve the infrastructure
work which the City will have to maintain in the future. Oftentimes we are
able to discuss materials and methods with the contractor that provides a
more long range cost effective product for the City.
We will prepare a detailed project-specific procedures manual for use
by project team members. Our existing policies and procedures will
be modified to reflect specific requirements or procedures for your
projects. The manual is the basis for our field-activities, providing a
clear statement of how we administer the work. The manual contains
information concerning the division of responsibilities between project
staff, contract information, communication and correspondence formats,
document control procedures and project approach. We also develop a
"Responsibility Matrix" that includes the client, the designer and the CM
staff. This approach improves the communication process considerably.
Each member of the CM team is given a copy of the manual and is
responsible for implementing its content.
Construction Phase
Safety
The CM will review the Contractor's Safety Plan and safety meetings and
report to the City. If we see ways to recommend improvements to the
Contractor's Safety Plan we will forward our recommendation to the City
and the contractor. Although the contractor is responsible for site safety
we will provide our expertise to assist in areas where needed.
Construction Management
Construction management services will provide project controls which
include familiarity with plans and specs, understanding the construction

contract(s) and payment agreements, reviewing contractor's schedules
with notification to the City of actual or potential schedule deviations with
assistance and recommendations regarding make up schedules to bring
the project on track and reviewing contractor pay requests and making
recommendation for payment to the City.
CM will provide oversight observation and inspection for the work
performed by the contractor and the contractor's construction
management firm. Attend pre-con meeting, attend progress meetings,
and review construction schedule and invoices. Review requests for
charges and requests for proposals and provide report to city regarding
the justification and merits of the changes. Provide monthly eamed value
schedule analysis of the contractDrs schedule along with the invoice
review.
CM also includes reviewing the contract specifications and conditions to
note that the contractor work is in compliance with contract conditions
and identify items of scope that are not in compliance with the contract
documents and conditions. If the schedule or work quality requires
remedial actions the CM will analyze the contractor's remedial schedule
or work plans and confer with the contractor's design engineer and the
City for solutions as required prior to implementation of the remediation
work. By attending progress meetings and discussing the daily work with
the inspector the construction manager will take a pro-active position
to identify these trends early on and work with the contractor to prevent
further occurrences.
The CM and inspector will attend pre-construction, construction and
progress meetings and prepare meeting minutes with action items for
follow-up work by the responsible parties noted.
The CM will also provide photographic and video documentation of the
construction work in progress with photos documenting work progress in
each monthly report.
The CM will maintain an open line of communication with the City. We
will prepare a monthly report addressing the issues, costs, invoices,
changes and the photo documentation of the contractor progress so the
City can follow the trends as the work progresses.
The CM will create and maintain logs of all contract correspondence
including letters, submittals, RFls, potential changes and change
orders. We will provide responses to clarify design issues and make
recommendations to the City regarding design clarifications.
The CM will maintain a log of potential changes identified by the
contractor andlor the City. The CM will prepare a cost estimate and
schedule impact analyses for all changes and negotiate the changes
with the contractor with the City's authorization

The CM will proactively work with the contractor to reduce disputes
and eliminate claims. The CM will recommend methods to resolve the
disputes that may arise.
The CM will provide labor cDmpliance services and review the
contractor's certified payrolls and maintain these payroll records on file.
The CM will coordinate labor compliance field reviews with the City as
needed.
The CM and inspector will assist in providing final inspection with City
staff that includes inspection and preparation of punch lists prior to final
acceptance. When all work is complete per the plans and specifications
and the punch list work is complete the CM will make a recommendation
for final acceptance of the contract work by the City.
Inspection
Construction field inspection services are full time to verify contract
compliance and provide detailed daily inspection reports and minutes of
all meetings.
The CM will manage quality control and quality assurance and work
closely with City inspectors to ensure all construction work installed
is observed and properly documented. Materials will be checked with
approved submittals before installation. Non-conforming work and
materiai will be identified in writing to the Contractor for correction prior
to acceptance of work.
