COMPANY (BNSF) FOR THE NEWPORT AVENUE EXTENSION, STATE
ROUTE 55 NORTHBOUND RAMP RECONFIGURATION, VALENCIA
AVENUE AND DEL AMO AVENUE WIDENING PROJECT - PHASE 1
(CIP NO. 7130)
SUMMARY
The proposed Supplemental to Agreement for the Installation of Full Depth Concrete
Crossing Surface between the City of Tustin and the Burlington Northern and Santa Fe
Railway Company (BNSF) modifies the Agreement approved by City Council on April 5,
2004. The supplemental agreement provides for new signal equipment at the BNSF
crossing on Valencia Avenue east of Del Amo Avenue.
RECOMMENDATION
It is recommended that the City Council approve the Supplemental to Agreement for the
Installation of Full Depth Concrete Crossing Surface with the Burlington Northern and Santa
Fe Railway Company (BNSF) for the Valencia Avenue crossing east of Del Amo Avenue in
conjunction with the Newport Avenue Extension, State Route 55 Northbound Ramp
Reconfiguration, Valencia Avenue and Del Amo Avenue Widening Project - Phase I (CIP
No. 7130), and authorize the Mayor and City Clerk to execute the document on behalf of the
City.
FISCAL IMPACT
The Capital Improvement Program (CIP) for Fiscal Year 2005-2006 provides $16,219,338
for construction and contract administration for Phase 1 of the Newport Avenue Extension,
State Route 55 Northbound Ramp Reconfiguration, Valencia Avenue and Del Amo Avenue
Widening Project (CIP No. 7130). The Agreement approved on April 5, 2004 authorized an
expenditure of $212,922 to install a new concrete railway crossing on Valencia Avenue east
of Del Amo Avenue. The Supplemental to the Agreement will authorize an additional
expenditure of $268,995 or a total of $481,917 for the current cost of the concrete crossing
and the installation of new signal equipment at the crossing.
Approval of Supplemental to Agreement for the Installation of Full Depth Concrete

BACKGROUND
As part of the Newport Avenue Extension, State Route 55 Northbound Ramp
Reconfiguration, Valencia Avenue and Del Amo Avenue Widening Project - Phase I (CIP
No. 7130), BNSF originally required the City to upgrade the railway across Valencia Avenue
by replacing the existing rails with heavier 115 pound welded rails and installing concrete
surface crossing material for the full width of Valencia Avenue. The City agreed to do this
work and the Agreement for the Installation of Full Depth Concrete Crossing Surface was
approved by the City Council on April 5, 2004. The Agreement requires that the City
reimburse BNSF for the actual cost of such work including material and labor.
Subsequent to the approval of the Agreement, the California Public Utilities Commission
(CPUC), the agency with jurisdiction over BNSF, requested that new signal equipment be
installed at the crossing. This section of Valencia Avenue will not be widened as part of the
subject project but will be re-striped from a two-lane to a four-lane roadway. As a result of
the re-striping to four lanes, the CPUC is requiring an upgrade to the signal equipment to
provide a higher degree of safety at the crossing.
The additional cost of the signal equipment is $238,647. BNSF has also estimated the
current cost of the concrete crossing work at $243,270. This represents an approximate
7.1 % annual increase from the 2004 cost estimate. Therefore, the total cost of the railway
crossing improvements is $481,917. All crossing and signal work will be accomplished with
BNSF crews. The City of Tustin will be required to reimburse BNSF for the actual cost of
such work including material and labor.
The City Attorney has reviewed the Supplemental to Agreement for the Installation of Full
Depth Concrete Crossing Surface and has signed it "Approved As To Form".

SUPPLEMENTAL TO
AGREEMENT FOR THE INSTAllATION OF
FUll DEPTH CONCRETE CROSSING SURFACE
This Supplemental Agreement ("Supplemental Agreement") is executed to be effective as
of this day of , 2006, ("Effective Date"), by and between BNSF RAILWAY
COMPANY, a Delaware corporation, f/kla The Burlington Northern and Santa Fe Railway
Company ("BNSF") and the CITY OF TUSTIN, a political subdivision of the State of California
("AGENCY").
RECITALS:
WHEREAS, BNSF and Agency entered into an agreement, BNSF Contract BF 29702,
April 5, 2004 ("Agreement"), for the installation of new concrete crossing surface on Valencia
Avenue, DOT 026708L, CPUC 002-178.30-C, located in Tustin, California;
WHEREAS, in the interest of aiding vehicular travel and public safety, the AGENCY is
now undertaking a project to install railroad crossing signals and activation equipment;
WHEREAS, the RAILROAD agrees to purchase and install, at Agency's sole expense,
the new Crossing Signal Equipment described in the scope of work herein, and upon the terms
and conditions set forth below.
NOW, THEREFORE, in consideration of the mutual covenants and agreements of the
parties contained herein, the receipt and sufficiency of which are hereby acknowledged, the
parties agree as follows:
MODIFICATION OF AGREEMENT'
1. Amend Article 1, Scope of Work, Section 1 of the agreement to read:
1. The term "Project" as used herein includes any and all work related to the
upgrade, renewal and construction of the Valencia Avenue crossing more particularly described
on Exhibit A attached hereto and incorporated herein, including, but not limited to, any and all
changes to telephone, telegraph, signal and electrical lines and appurtenances, installation of
advance warning signs and pavement marking stop bars, installation of Crossing Signal
Equipment, installation of new crossing surface, temporary and permanent track work, fencing,
grading, alterations to or new construction of drainage facilities, preliminary and construction
engineering and contract preparation. Temporary controls during construction shall comply with
Section 8A-5, "Traffic Controls During Construction and Maintenance" of the Uniform Traffic
Control Devices Manual, U.S. Department of Transportation.
2. Amend Article II - BNSF Responsibilities, Section 2 of the agreement to read:
2. BNSF, at the sole cost and expense of Agency, shall furnish all labor, materials,
tools, and equipment for railroad work required for the Project, such railroad work and the
estimated cost thereof being as shown on Exhibit B attached and incorporated herein. In the
event construction on the Project has not commenced within six (6) months following the Effective
Date, BNSF may, in its sole and absolute, revise the cost estimates set forth in said Exhibit B to

reflect changes in BNSF's actual cost of furnishing such labor, materials, tools, and equipment.
In such event, the revised cost estimates will become a part of this Agreement as though
originally set forth herein. Any item of work incidental to the items listed on Exhibit B not
specifically mentioned therein may be included as a part of this Agreement upon written approval
of Agency, which approval shall not be unreasonably withheld. Construction of the Project shall
include the following railroad work by BNSF:
(a) Preliminary engineering, design, and contract preparation;
(b) Installation of concrete crossing surface material including removal of one track,
and upgrade to remaining track to accommodate new concrete crossing surface
material, encompassing all vehicular driving lanes; and
(c) Installation of Crossing Signal Equipment.
3. Exhibit A to the Agreement is amended to read as shown in Exhibit A to this
supplemental to the Agreement.
4. Exhibit B to the Agreement is amended to read as shown on Exhibit B to this
supplemental to the Agreement.
5. Except as otherwise provided in this supplemental to Agreement, all of the terms and
provisions of the Agreement shall remain in full force and effect.
