HomeMy WebLinkAbout13 O&M AGMT SOCCCD WATER QUALITY 06-19-06 AGENDA REPORT MEETING DATE: JUNE 19,2006 TO: WILLIAM HUSTON, CITY MANAGER FROM: COMMUNITY DEVELOPMENT DEPARTMENT SUBJECT: AGREEMENT REGARDING FLOODING INDEMNITY AND OPERATIONS AND MAINTENANCE PLAN TO FUND AND MAINTAIN WATER QUALITY BEST MANAGEMENT PRACTICES SUMMARY The Tustin City Code requires project applicants to prepare a Water Quality Management Plan (WQMP) for all new development and significant redevelopment projects. This requirement for a WQMP stems from the City's obligation under the provisions of the Orange County National Pollutant Discharge and Elimination System (NPDES) municipal storm water permit, and WQMPs are prepared in accordance the Orange County Drainage Area Management Plan (DAMP). The City complies with these requirements and reviews the WQMPs for compliance. As part of the WQMP prepared for the Advanced Technology Education Park (ATEP), an Operation and Maintenance Plan (0 & M) Agreement to Fund and Maintain Water Quality Best Management Practices (BMPs) is required to be recorded. The Agreement was prepared by the City Attorney's office. Owner and/or lessee: South Orange County Community College District RECOMMENDATION: That the City Council authorize the Mayor to execute the Agreement Regarding Flooding Indemnity and 0 & M Plan to Fund and Maintain Water Quality BMPs. FISCAL IMPACT: There are no associated fiscal impacts to the City associated with the execution of this agreement. BACKGROUNDIDISCUSSION: The Tustin City Code requires project applicants to prepare a WQMP for all new development and significant redevelopment projects. This requirement for a WQMP stems from the City's obligation under the provisions of the Orange County National Pollutant Discharge and Elimination System NPDES municipal storm water permit and the City Council Report O and M Agreement Page 2 of 2 WQMP is prepared in accordance the Orange County DAMP. The City complies with this requirement and reviews the WQMPs for compliance. As part of a WQMP for an approved project, there is a section that contains and Operations and Maintenance Plan and post construction best management practices Best Management Practices (BMPs) agreement that is required to ensure ongoing maintenance. As part of the WQMP prepared for this project, an Operation and Maintenance Plan agreement to fund and maintain Water Quality Best Management Practices is required and an agreement is to be recorded. Under the provisions of this agreement, the District will also indemnify the City for flooding or drainage due to flooding on the property as a result of the District's construction or maintenance of the project. The City and the District are each referred to herein as a "Party" and sometimes collectively as "Parties." RECITALS A. District is the owner of that certain real property at former MCAS, Tustin commonly known as Parcel I-E-3 and located in the City of Tustin, County of Orange, State of California, more particularly described on Exhibit "A" attached hereto and incorporated herein ("Owned Property") B. District is leasing that certain real property commonly known as parcel IV-J4 and located in the City of Tustin, County of Orange, State of California as a lease in furtherance of conveyance from the City of Tustin and more particularly described on Exhibit "B" attached hereto and incorporated herein ("Leased Property"). C. District plans to develop the Owned Property and Leased Property (collectively, the "Property") as an Advanced Technology Education Park (ATEP) (the "Project") in accordance with the following agreements between the District and the City of Tustin: 1. "Agreement Between the City of Tustin and the South Orange County Community College District for Conveyance of a Portion of MCAS, Tustin and the Establishment of an Advanced Technology Educational Campus;" 2. "Short Form Notice of Agreement;" 3. "Bill of Sale for former Military Personal Property Located at the Fonner Marine Corps Air Station, Tustin;" 4. "Quitclaim Deed and Environmental Restriction Pursuant to Civil Code Section 1471;" 214502.1 F ebruary 21, 2006 5. "Sub-Lease Between the City of Tustin and the South Orange County Community College District for a Portion of MCAS Tustin;" and 6. "Short Form Notice of Sub-Lease." D. District has submitted plans for the Project to the City for review of grading, drainage, improvements in the public right of way and compliance with the MCAS, Tustin Specific Plan (the "Specific Plan"). E. District proposes to connect its on-site drainage system to the City's backbone storm drain system located within the Specific Plan prior to City's completion of such backbone drainage system. F. As a condition of the City's approval of the plans submitted for its review by District and for the issuance of certain grading and/or encroachment permits related to the Property, District is required to indemnity the City for flooding or drainage due to flooding on the Property or as a result of the District's construction and maintenance of the Project. G. The Property is located within the Peters Canyon watershed and, therefore, is subject to a Joint Cooperative Agreement between the City, the County of Orange (the "County"), and the Orange County Flood Control District ("OCFCD") (the "OCFCD Agreement"). H. As a further condition of the City's approval of the plans submitted for its review by District and for the issuance of certain grading and/or encroachment permits related to the Property, and as required by Amendment No. I to the OCFCD Agreement, the District is required, until the completion of the Peters Canyon Channel Improvements, to: (a) indemnity and defend the County and OCFCD against any claims, loss, liability or damages arising from damage to property or injury to persons resulting from flooding and/or erosion within the Property; and (b) ensure that it has adequate assets in existence to fund these obligations. The OCFCD Agreement further provides that these defense and indemnity obligations shall not extend to any loss, liability, or damages established by a court of competent jurisdiction to be caused by the County's or OCFCD's negligence or willful misconduct in the design or maintenance of existing flood control improvements in the Peters Canyon Channel, provided the failure to improve Peters Canyon Channel adjacent to parcels in the City of Tustin and City of Irvine will not constitute negligence or willful misconduct on the part of OCFCD or the County. I. As a further condition of the City's approval of the plans submitted for its review by District and for the issuance of certain grading and/or encroachment permits related to the Property, District is required to enter into an agreement with the City, which agreement shall be recorded, that obligates District, its successors and assigns, to operate and maintain, in perpetuity, the post-construction Best Management Practices (the "BMP's") described in the approved City Water Quality Management Plan ("WQMP") for the Project. NOW, THEREFORE, based on the Recitals and in consideration of the mutual promises and covenants herein, the Parties agree as follows: AGREEMENT 214502.1 2 February 21, 2006 I. Flooding Liabilitv Waiver and Indemnity Agreement Indemnity and Hold Harmless. Declarant, on behalf of itself and any and all successors- in-interest to all or a portion of the Property (i) hereby releases the City of Tustin and its elected officials, officers, employees, agents, contractors, consultants (the "Released Parties") from any and all liability which may be related to flooding or drainage due to flooding on the Property or as a result of the District's construction and maintenance of the Project (collectively the "Released Items") except to the extent that such flooding is caused by the negligence or willful misconduct of any of the Released Parties; and (ii) hereby agrees to indemnifY, defend and hold harmless the Released Parties from any and all damage, liability, claims, judgments, litigation awards, including attorneys' fees and costs arising (collectively "Losses") out of the Released Items except to the extent that the Losses are caused by the negligence or willful misconduct of any of the Released Parties. The City of Tustin shall promptly notify the Declarant, of any claim, action or proceeding regarding the Project and shall cooperate fully in the defense of any such claim, action, or proceeding. If the City of Tustin fails to promptly notifY the Declarant, or fails to cooperate fully in the defense of any such claim, action, or proceeding, the Declarant, Declarant's successors-in-interest to all or a portion of the Property, shall not thereafter be responsible to defend, indemnify, or hold harmless the Released Parties form the Release Items. 2. Peters Canvon Channel Improvements Indemnitv and Hold Harmless As an obligation separate and distinct from the flooding liability waiver and indemnity agreement described in Section I of this Agreement, the District agrees to the extent permitted by law and until completion of the Peters Canyon Channel Improvements, to indemnifY and defend the City, the County, and OCFCD against any claims, loss, liability or damages arising from damage to property or injury to persons resulting from flooding and/or erosion within the Property. The District shall ensure that it has adequate assets in existence to fund this obligation. These defense and indemnity obligations do no extend to any loss, liability, or damages established by a court of competent jurisdiction to be caused by City's, County's or OCFCD's negligence or willful misconduct in the design or maintenance of existing flood control improvements in the Peters Canyon Channel, provided the failure to improve Peters Canyon Channel adjacent to the Property will not constitute negligence or willful misconduct on the part of the City, District or County. 3. O&M Plan for BMPs. District shall fund and maintain an Operations and Maintenance ("O&M") Plan for the Property as part of an approved WQMP that shall include: a. Description of all post-construction BMPs (non-structural and structural), b. Description of District's responsibilities and training for BMP implementation, operation and maintenance, c. Implementation frequency and operating schedule, d. Inspection/maintenance frequency and schedule, e. Specific maintenance activities, f. Required permits from resource agencies, if any, g. Forms to be used in documenting implementation and maintenance activities, h. Recordkeeping requirements. 2145021 3 February 21, 2006 A copy of the approved O&M Plan is attached hereto as Exhibit "c" and is incorporated herein by this reference. 4. Compliance with Tustin City Code. District agrees that the Property will be used and maintained in compliance with the provisions of the O&M Plan and the Tustin City Code section 4900 et seq., as it may be amended from time to time. S. Consent to Inspect Property and Indemnity. District expressly consents to inspection of the Property by an inspector authorized by the City Manager, or his or her designee, for the purpose for verifying compliance with the provisions of this Agreement. District agrees to indemnifY, defend, and hold harmless the City, its elected officers, employees, agents, and contractors from and against any and all liability, expense, including costs and legal fees, and claims of damage of any nature whatsoever including, but not limited to, death, bodily injury, personal injury, or property damage arising from or connected with the City inspection of the Property except where such liability, expense, or claim for damage results from the sole negligence or willful misconduct of the City. 6. Obligations Accrue to the Land. The Parties expressly agree that this Agreement shall run with the land and shall be binding upon all subsequent purchasers, grantees, donees, lessees, successors, and/or assigns ("Successor Owners") of all or any portion of the Property, and if District or Successor Owners fail to abide by this Agreement, then the obligations set forth herein shall become a lien on the Property. District hereby agrees to provide actual notice of this Agreement and its terms to all such Successor Owners. 7. Potential and Material Defaults. 7.1 Potential Defaults. In the event either party to this Agreement fails to perform, or delays in the performance of, any obligation, in whole or in part, required to be performed by a Party as provided in this Agreement (the "Defaulting Party"), the other party (the "Injured Party") may give written notice of a Potential Default to the Defaulting Party, which notice shall state the particulars of the Potential Default. The City and the District agree to cooperate in good faith and meet and confer regarding such default. 7.2 Material Default. A Potential Default under Section 7.1 shall become a "Material Default" in the event the Potential Default is not cured within thirty (30) days of receipt of a written notice of such Potential Default from the Injured Party; provided that if such cure cannot be reasonably accomplished within such period, then within ninety (90) days after receiving written notice of the Potential Default, but only if the Defaulting Party has commenced such cure within such period and diligently pursues such cure to completion, or within such longer period of time as may be expressly provided in this Agreement with respect to the Potential Default. The time periods set forth above to cure within the time periods set forth above, each Potential Default shall become a Material Default that shall be deemed to have occurred upon the expiration of the applicable cure period. 214502.1 4 February 21 , 2006 7.3 Specific Performance. In the event District is in Material Default, in addition to whatever other rights the City may have in law or at equity, or as otherwise provided in this Agreement, the City may seek to specifically enforce the obligations of the District under this Agreement. 7.4 No Waiver. The failure to, or delay in giving notice of a Potential Default shall not constitute a waiver of any default. Except as otherwise expressly provided in this Agreement, any failures or delays by either Party in asserting any of its rights and remedies as to any default shall not operate as a waiver of any default or of any rights or remedies under this Agreement. In addition, delays by either Party in asserting any of its rights and remedies, shall not deprive either Party of its right to institute and maintain any actions or proceedings which it may deem necessary to protect, assert, or enforce any such rights or remedies. 8. Governin2 Law / Consent to Jurisdiction. 8.1 All questions with respect to the interpretation of this Agreement and the rights and liabilities of the parties to this Agreement shall be governed by the laws of the State of California. 8.2 The Parties hereto agree that all actions or proceedings arising in connection with this Agreement shall be tried and litigated exclusively in the Superior Court of the County of Orange, State of California, in any other appropriate court of that county, or in the United States District Court for the Central District of California. This choice of the venue is intended by the Parties to be mandatory and not permissive in nature, thereby precluding the possibility of litigation between or among the Parties with respect to or arising out of this Agreement in any jurisdiction other than that specified in this section. Each Party hereby waives any right that it may have to assert the doctrine forum non conveniens or similar doctrine or to object to venue with respect to any proceeding brought in accordance with this section, and stipulates that the state and federal courts located in the County of Orange, State of California, shall have in personam jurisdiction and venue over each of them for the purpose of litigating any dispute, controversy or proceeding arising out of this agreement. Each Party hereby authorizes and accepts service of process sufficient for personal jurisdiction in any action against it as contemplated by this Section 8.2 by means of registered or certified mail, return receipt requested, postage prepaid, to its address for the giving of notices as set forth in this Agreement, or in the manner set forth in Section 16 of this Agreement pertaining to notice. Any final judgment rendered against a Party in any action or proceeding shall be conclusive as to the subject of such final judgment and may be enforced in other jurisdictions in any manner provided by law; however, each Party maintains its rights to appeal as provided by law. 9. Entire A2reement. This Agreement and the Attachment constitutes the entire agreement and understanding between the Parties with respect of the subject matter of this Agreement and supersedes all prior or contemporaneous agreements and understandings with respect to the subject matter hereof, whether oral or written. 10. Severabilitv. 2145021 5 February 21, 2006 If any part of this Agreement is declared by a final decision of a court of competent jurisdiction to be invalid for any reason, such shall not affect the validity of the rest of the Agreement. The other parts of this Agreement shall remain in effect as if this Agreement had been executed without the invalid part. The parties declare that they intend and desire that the remaining parts of this Agreement continue to be effective without any part or parts that have been declared invalid. 11. Counternarts. This Agreement may be executed in counterparts, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original, and all such counterparts together shall constitute one and the same instrument. 12. Time is of the Essence. Time is of the essence in this Agreement, and failure to timely comply with provisions of this Agreement shall be grounds for a Potential Default under this Agreement. 13. Attornevs' Fees. If any party files an action or brings any proceeding against the other arising from this Agreement, the prevailing party shall be entitled to recover as an element of its costs of suit, and not as damages, reasonable attorneys' fees and costs to be fixed by the court. A party not entitled to recover its costs shall not recover attorneys' fees. No sum for attorneys' fees shall be included in calculating the amount of a judgment for purposes of deciding whether a party is entitled to its costs or attorneys' fees. 14. Amendment. No modification, amendment, addition to, or alteration of the terms of this Agreement, or the Attachments, whether written or verbal, shall be valid unless made in writing and formally approved and executed by all parties. 15. Authoritv of Sil!:natories to Al!:reement. Each person executing this Agreement represents and warrants that he or she is duly authorized and has legal capacity to execute and deliver this Agreement on behalf of the Parties for which execution is made. Each Party represents and warrants to the other that the execution of this Agreement and the performance of such Party's obligations hereunder have been duly authorized and that the agreement is a valid and legal agreement binding on such party and enforceable in accordance with its terms. 16. Notices, Demands and Communications between Parties. All notices, demands, consents, requests and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed conclusively to have been duly given (a) when hand delivered to the other party; (b) three (3) Business Days after such notice has been sent by United States mail via certified mail, return receipt requested, postage prepaid, and addressed to the other party as set forth below; (c) the next Business Day 2145021 6 February 21, 2006 after such notice has been deposited with a national overnight delivery service reasonably approved by the parties (Federal Express, United Parcel Service and U.S. Postal Service are deemed approved by the parties), postage prepaid, addressed to the party to whom notice is being sent as set forth below with next business day delivery guaranteed, provided that the sending party receives a confirmation of delivery from the delivery service provider. Bindin!! Upon Successors and Assims. This Agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives. 18. Effective Date. The Effective Date of this Agreement shall be the date when this Agreement has been executed by the District and City, which shall be the date first set forth above. The obligations imposed on the District by Paragraph I of this Agreement shall terminate upon the completion and connection to District Property of the new backbone storm drain system by the City connecting the District Property to the storm drain system in Barranca Parkway as approved by the Public Works Director of the City. The obligations imposed on the District by Paragraph 2 of this Agreement shall terminate upon completion of the Peters Canyon Channel Improvements. 214502.1 7 February 21, 2006 The obligations imposed on the Property owners by Paragraph 3 of this Agreement are perpetual and shall run with the land. Prior ownership of the site was by the United States Marine Corps serving as the Tustin Marine Corps Air Station (TMCAS). The Project is located at 15442 Red Hill A venue and is bounded by Red Hill A venue to the west, Valencia Avenue to the south, a vacant lot with older facilities used by the Mlirihe Corps to the north, and a vacant lot to the east. In addition, the Project is located within the jurisdictional boundaries of the City of Tustin, County of Orange, the Santa Ana Regional Water Quality €antrol Board (Region 8), and the San Diego Creek Watershed Area. A Location Map identifying the general vicinity, site layout, and BMP locations of the Project is located in Section VI - Location Map, Plot Plan(s) & BMP Details of this WQMP; Existing Conditions A geological investigation was conducted by American Geotechnical, Inc. on May 6, 2004 where findings desaibe the Project area as an open lot that is relatively fiat covered by the remnants of a lawn, weeds, and trees. Notably, there are four well-heads designated for groundwater monitoring located in the proposed parlcing lot. ~ Proposed Development and Operations Project development is comprised of approximately 2.7 acres consisting of five (5) buildings totaling approximately 44,000 square feet, surrounding walkways, and a parlcing area totaling approximately 5 I ,000 square feet that will accommodate facilities for technological instruction and coursework. The following lists the use of each building within the SOCCCD campus located at the northeast comer of Red Hill Avenue and Valencia Avenue (see Section VI _ Figure 2): . Landscaping at the parking lot' consist of softscape material in the planter fingers and around the perimeter. Softscape will consist of turf; shrubs, and trees. The campus will provide emergency vehicle access via Valencia Avenue to the central court area of the campus. The Project will not have any onsite loading 40cks, outdoor material storage areas, and/or conduct activities generating hazardous waste. Approximately fifty-five percent of the site will be covered by impermeable suifaccs. Section III Site Description Zoning Designation and Watershed Characteristics The Project is located on at 15442 Red Hill A venue in the City of Tustin, County of Orange and is zoned for educational! institutional use. In addition, the Project lies within the San Diego Creek Watershed Area. The San Diego Creek Watershed covers 112.2 square miles in central Orange County. The watershed area includes portions of the.cities of Costa Mesa, hvine, Laguna Woods, Lake Forest, Newport Beach, Orange, Santa Ana, and Tustin. Its main tributary, San Diego Creek, drains into Upper Newport Bay. Smaller tributaries include Serrano Creek, Borrego Canyon Wash, Agua Chino Wash, Bee Canyon Wash; Peters Canyon Wash, Sand Canyon Wash, Bonita Canyon Creek, and the Santa Ana Delhi Channel. The U.S. Army COIpS of Engineers completed a Watershed Reconnaissance Study in 1998 and initiated the Feasibility Study phase in 1999. In addition, the San Diego Creek watershed is the only one in Orange County with TMDL limits adopted or in development These regulations will limit the "Total Maximum Daily Load" of sediments, nutrients, pathogens and toxies entering waters of the creek and bl!y.2 ...-... There are no known Environmentally Sensitive Areas (ESAs) and Areas of Biological Significance (ASBSs) within the vicinity to the Project. However, according to the 2002 303(d) Listed Water Bodies and associated pollutants of concern for Orange County, stormwater runoff ultimately flows approximately five miles downstream into the Upper Newport Bay (Ecological Reserve) where identified pollutants are metals and pesticides.3 Soil Types and Percentage of Pervious I Impervious Surface Areas A geotechnical investigation identifies the soil with alluvial deposits that underlie the site and consist of interbedded layers of soft to medium still standy silty clays. In addition, laboratory data indicates that shallow alluvial soils at the site are generally relatively weak and highly expansive. In particular, it is located within the confines of the former TMCAS, a Station of over 1,200 acres that was closed down by the U.S. Department of Navy as pact of the base closure program of the United States Government. The Station is developed with a series of paved roadways, paved ,parking lots, paved aircraft runways and tie down areas. The Station is also developed with various military r-. buildings, warehouses and residential community of military stat[ The Station is also the site of the two largest lighter than air hangers fu the world. The Station is developed with an underground stonn drain system, underground water distribution system, underground sanitary sewer system, underground naturaJ gas distnbution system as welt as both underground and aboveground electrical and telephone systems. This Project is located at the upper end of the drainage basin of the fonner Station which is serviced by one of the many underground stonn drain system that exist at the Station. Drainage from the Project as well as developed property upstream of this Project flow into this underground stonn drain system. From a hydrologic standpoint, the Project does not alter or impact the hydrologic regime of either the existing Station drainage systems nor any nearby downstream drainage systems. Due to the type and size of the Project, there is little to no increase in the amount of runoff. The implementation of the various water quality measures proposed for the Project will benefit the existing Station drainage system and any nearby downstream drainage system. Drainage , -, Drainage and stonnwater flows on the campus portion of the Project and the parking lot portion of the Project that result in on-site sheet flows that originate from the north and traverse to the south. Drainage will be directed into a twelve-by-twelve-inch grated catch basin inlets located throughout the entire campus and parking lot (see Section VI - Figures 2 and 3). Catch basins shall be visually inspeCred for defec;ts and possible illegal dumping. If illegal dumping has occurred the proper authorities shall be notified as soon as practicable. The catch basin grate shall be removed and set to one side. Using an industrial vacuum, the collected materials shall be removed from the liner. When collected materials have been removed, the filter medium pouches shall be disposed in a container approved by the Department of Transportation. Filter replacement will follow the instructions provided by Flo-GardTM + Plus. The grate shall be replaced. The catclr basin grate shall be removed and set to one side. Using an industrial vacuum, the collected materials shall be removed &om the liner. When all of the collected materials have been removed, the filler medium pouclres shall be removed by unsnappins the tether &om the D-ring and set to OIIe side.
