DISPOSITION AREA 5 AT TUSTIN LEGACY
SUMMARY:
Request for selection of a commercial real estate broker to provide marketing and
solicitation services for approximately 14 acres of vacant property within Disposition Area
5 at Tustin Legacy.
RECOMMENDATION:
Authorize the City Manager to negotiate and execute a Listing Agreement with CCP Real
Estate Advisors, subject to non -substantive additions or modifications as may be deemed
necessary and/or recommended by the City Attorney.
FISCAL IMPACT:
Compensation for brokerage services is typically based on a commission structure,
meaning that the City is not liable for any compensation to a commercial real estate broker
until the close of escrow on a land sale or execution of a ground lease. City staff has
negotiated the following tiered commission structure with the recommended broker, CCP
Real Estate Advisors, which aligns with both other responses received and industry
standards.
Land Sale: 5.0% of the sale price up to the first $10,000,000.00
4.0% of the next $10,000,000.00 up to $20,000,000.00
3.0% of the sale price amount exceeding $20,000,000.00
Ground Lease: 5% of the lease value
The final compensation amount will depend on the success of a future
conveyance. It is unclear at this time whether the property would be conveyed under a
sale or ground lease.

CORRELATION TO THE STRATEGIC PLAN:
Execution of a Listing Agreement for commercial real estate brokerage services contributes
to the fulfillment of the City's Strategic Plan Goal A: Economic and Neighborhood
Development. Specifically, this item implements Strategy 1 which is to develop critical
phases of Tustin Legacy.
BACKGROUND AND DISCUSSION:
On July 17, 2024, the City issued a Request for Qualifications (RFQ) for commercial real
estate brokerage services with the goal of finding a broker experienced in the marketing,
disposition, development and tenanting of experiential retail, entertainment and hospitality
uses within Orange County. The selected broker is to represent the City on a future Request
for Proposals (RFP) process for approximately 14 acres of vacant property within Disposition
Area 5 at Tustin Legacy for an experiential retail and entertainment district with hospitality.
The RFQ was directly emailed to the City's interest list and target brokers, posted on the
City's Bids and RFPs web page, and emailed to professional associations such as the
National Association for Industrial and Office Parks (NAIOP) SoCal, the Urban Land Institute
(ULI) Orange County/Inland Empire, and Commercial Real Estate Women (CREW) Orange
County. The RFQ responses were due by August 16, 2024.
Nine (9) responses were received from the following firms or teams:

An evaluation committee was established to review and evaluate all responses, interview a
shortlisted group of firms, and ultimately recommend a broker for City Council consideration.
The evaluation committee was comprised of a City staff member (Deputy Director of Real
Property), a commercial real estate developer which is also a NAIOP SoCal board member,
and a retail broker (not responding to the RFQ) experienced with projects at Tustin Legacy.
The evaluation committee reviewed the responding firms' qualifications, relevant project
experience and commission structure in considering a shortlist of firms to interview. After
reviewing the proposals and subsequent shortlist interviews, the evaluation committee is
recommending that the City Council enter into a Listing Agreement with CCP Real Estate
Advisors (CCP). The evaluation committee determined CCP to be both the highest ranked
proposal and highest rated interview.

CCP is a well -qualified local firm headquartered in Newport Beach led by Chris Fredrick,
Founder and President. In addition, CCP is also including John Few, Managing Principal of
SRS Real Estate Partners, as part of the proposed brokerage team. CCP has extensive
experience in the brokering, development and tenanting of experiential retail, entertainment
and hospitality uses and users desired by the City for the proposed RFP. Many of CCP's
relevant projects may be referenced within their attached RFQ response.
Following execution of a Listing Agreement, CCP will assist the City as follows over the next
several months before an RFP is issued:
- Identify strengths and weaknesses of the property in the experiential retail,
entertainment and hospitality markets
Research and recommendations on developers and tenants to pursue;
Develop selection criteria for the developer selection process;
Prepare sample underwriting, graphics, market research with comparable analysis on
the subject property/City/region market for inclusion in the RFP and prepare a Broker's
Opinion of Value;
Evaluate project feasibility and suggest creative solutions to achieve desired
development goals of the City;
Create or identify appropriate software to enable initial developer document
disclosure, execution, developer submittals, and developer questions; and
Prepare, distribute, and administer the RFP for the property in accordance with the
City's vision and City standard terms and conditions.
Following the RFP release, CCP will assist the City by reviewing proposals and assisting with
recommending a developer for City Council consideration. Staff currently anticipates that the
RFP for the experiential retail and entertainment district with hospitality use on approximately
14 acres within Disposition Area 5 at Tustin Legacy will be released in the first quarter of
2025, with a developer recommendation to the City Council likely to occur in the second
quarter of 2025.

Prior to joining SRS, John was co-founder and managing principal of the Sequoia Restaurant & Entertainment Group for
16 years. Sequoia provided development consulting expertise and brokerage services to premier restaurant and
entertainment groups in addition to high-level strategic development consulting throughout North America.
Prior to founding the Sequoia Group, John was Director of Real Estate and Business Development for Disney
Regional Entertainment, a division of the Walt Disney Company focused on creating and developing various
location -based entertainment concepts including ESPN Zone, DisneyQuest, and Club Disney. John also led
Disney's corporate alliance efforts with in -venue branding partners such as PepsiCo, American Express and
Sony. John's career started at PepsiCo where he held various national corporate real estate positions in major
markets across the country for Taco Bell and Chevys Fresh-Mex
Restaurants.
John is a graduate of Boston University, and also studied at St. Catherine's College, Oxford University. He received his
MBA from the Marshall School at the University of Southern California and has been an active member of the
International Council of Shopping Centers for over 20 years.
