SCHINDLER, CITY MANAGER MICHAEL GRISSO, DIRECTOR OF PUBLIC WORKS APPROVE AMENDMENT TO ATTACHMENT AGREEMENT WITH THE SOUTHERN CALIFORNIA GAS COMPANY The Southern California Gas Company has been deploying advanced metering technology throughout their service area. On February 7, 2023, the City Council approved an Attachment Agreement which allowed installation of one metering device on a City -owned street light pole. The Southern California Gas Company is requesting four additional locations be included in the agreement. RECOMMENDATION: It is recommended that the City Council approve the amendment to the Attachment Agreement with the Southern California Gas Company. FISCAL IMPACT: The agreement provides the City with two one-time forms of compensation per installation site. A payment of $780.00 for use of the pole and $233.60 for compensation of electrical uses needed to operate the device. CORRELATION TO THE STRATEGIC PLAN: This item contributes to the fulfillment of the City's Strategic Plan Goal D: Strong Community and Regional Relationships. Specifically, approval of this agreement implements or fosters the implementation of Strategy 2, which among other items, is to identify opportunities to collaborate with private entities to advance issues or services of mutual interest. BACKGROUND AND DISCUSSION: The Southern California Gas Company (Gas Company) utilizes an advanced metering program that requires the installation of devices throughout their service area. In 2023 the City entered into an Attachment Agreement with the Gas Company allowing for the Docusign Envelope ID: OAC17D8D-E04C-4140-ACFF-742560759195 City Council Agenda Report Amend Gas Company Attachment Agreement June 17, 2025 Page 2 installation of Gas Company equipment on City -owned streetlights, a practice common among utilities which helps to reduce the number of utility poles required within the public right-of-way. The 2023 agreement included a single location near 13821 Newport Avenue. The Gas Company is requesting four (4) additional locations be added to the agreement. The locations are: 1. East of 12442 Tustin Ranch Road 2. East of 14901 Newport Avenue 3. On Myford Road, West of 13359 Verona 4. West of 15776 Gateway Circle Staff recommends the City Council approve the proposed amendment to the Attachment Agreement, adding four (4) additional locations. To simplify the inclusion of additional locations in the future, the amendment will also authorize the City Manager, or designee, to approve additional installation sites and update Exhibit "A" of the agreement, which is a list of authorized locations. Proposed Amendment to Attachment Agreement with the Southern California Gas Company Docusign Envelope ID: OAC17D8D-E04C-4140-ACFF-742560759195 AMENDMENT NO. 1 TO ATTACHMENT AGREEMENT BY AND BETWEEN THE CITY OF TUSTIN, CALIFORNIA AND SOUTHERN CALIFORNIA GAS COMPANY This Amendment No. 1 ("Amendment") is entered into this 17t" day of June, 2025, by and between the City of Tustin, a California municipal corporation, hereinafter referred to as the ("City") and Southern California Gas Company, a California corporation hereinafter referred to as the ("Gas Company"). RECITALS WHEREAS, City and Gas Company entered into that certain Attachment Agreement dated February 7, 2023, which is incorporated herein by reference, allowing for the installation of advanced meter equipment, network communications devices, including but not limited to data collector units ("DCUs"), antennas, gas repeaters and/or radio frequency local area network range extenders, and other advanced meter facilities, in connection with and necessary for Gas Company's operation, transmission and distribution of gas in the City ("Advanced Meter Facilities") on City -owned streetlight poles ("Installation Sites"). WHEREAS, Exhibit "A" of the Agreement includes only one Installation Site, City Pole Number 3045, located at 13821 Newport Avenue. WHEREAS, City and Gas Company desire to amend the Agreement to add Installation Sites to Exhibit "A" upon the terms, conditions and other considerations set forth herein. AGREEMENT NOW THEREFORE, in consideration thereof and for other valuable consideration as set forth herein below the parties hereto do mutually agree as follows: 1. New Exhibit Adding Installation Sites. Exhibit "A" attached to this Amendment is hereby appended to and made a part of the Agreement as the new Exhibit "A". 2. Future Addition of Installation Sites. The City Manager is hereby authorized to approve additional Installation Sites and future modifications to Exhibit "A". Section 13 of the Agreement is amended and restated to read as follows: 13. Amendment of Agreement. This Agreement may not be amended except pursuant to a written instrument signed by both parties. The City Manager, or their designee, is authorized to approve the addition of Docusign Envelope ID: OAC17D8D-E04C-4140-ACFF-742560759195 Installation Sites to Exhibit "A". All other amendments will require City Council review and approval. Except as specifically modified by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect.
