FISCAL IMPACT: The Second Amendment to the Communications Site License Agreement with New Cingular Wireless PCS, LLC will increase monthly license payments by $500 per month. CORRELATION TO THE STRATEGIC PLAN: The Second Amendment to the Communications Site License Agreement with New Cingular Wireless PCS, LLC contributes to the fulfillment of the City's Strategic Plan Goal C: Financial Strength. Specifically, this item implements Strategy 4, which is to explore opportunities for new or increased revenues and diversify revenue sources beyond sales and property taxes. Docusign Envelope ID: 7573C612-77F6-4535-B95E-2F8B74E33879 City Council Agenda Report Second Amendment to Communications Site License Agreement October 21, 2025 Page 2 BACKGROUND AND DISCUSSION: The City and New Cingular Wireless PCS, LLC (AT&T) entered into a Communications Site License Agreement (License Agreement) on September 17, 2019, to install equipment on one 100' light standard and inside a structure at Veterans Sports Park at Tustin Legacy (VSP). The License Agreement has a ten (10) year initial term with an additional two (2) five (5)-year extension options by AT&T. The original License Agreement called for AT&T to pay a monthly License Agreement payment of $3,400 per month escalated 4% annually. On March 1, 2022, the City Council authorized the City Manager to execute a First Amendment to the License Agreement whereby AT&T agreed to increase the monthly License Agreement payment by $500 as consideration for additional equipment being installed at VSP. Under the proposed Second Amendment to the License Agreement, AT&T will increase the monthly License Agreement payment by $500 as consideration for additional equipment being installed at VSP as shown on Exhibit 3-B to Attachment 1. AT&T is currently on year seven (7) of the initial term and is currently paying $4,887.01 in monthly License Agreement payments. If the Second Amendment to the License Agreement is approved, the monthly License Agreement payment will increase to $5,837.01 and continue to escalate annually by 4%. WHEREAS, City and Licensee entered into a Communications Site License Agreement dated September 17, 2019, and First Amendment to Communications Site License Agreement dated March 2, 2022, whereby City licensed to Licensee certain Premises, therein described, that are a portion of the Property located at 1645 Valencia Avenue, Tustin, CA 92782, more commonly known as Veterans Sports Park (collectively, the "Agreement"); and WHEREAS, Licensee desires to change, modify or relocate the Licensee's Facilities, which City is willing to approve; and WHEREAS, City and Licensee desire to adjust the License Payment in conjunction with the modifications to the Agreement contained herein; and WHEREAS, City and Licensee, in their mutual interest, wish to amend the Agreement as set forth below accordingly. NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, City and Licensee agree as follows: 1. New Exhibit 3-13. Licensee shall have the right, in its sole discretion, to change, modify or relocate the Licensee's Facilities as more completely described on attached Exhibit 3-B. City's execution of this Second Amendment will signify City's approval of Exhibit 3-B. Exhibit 3-B hereby replaces Exhibit 3-A to the Agreement. 2. License Payment. Commencing on the first day of the month following the date that Licensee commences construction of the modifications set forth in this Second Amendment, the License Payment shall be increased by Five Hundred and No/100 Dollars ($500.00) per month, subject to further adjustments as provided in the Agreement. Upon Licensee's removal of additional antennas and/or vacation of additional space, License Payment will revert to the original rate, subject to adjustments as provided in the Agreement, upon thirty (30) days' prior written notice to City. 3. Other Terms and Conditions Remain. In the event of any inconsistencies between the Agreement and this Second Amendment, the terms of this Second Amendment shall control. Except as expressly set forth in this Second Amendment, the Agreement otherwises is unmodified and remains in full force and effect. Each reference in the Agreement to itself shall be deemed also to refer to this Second Amendment. 4. Capitalized Terms. All capitalized terms used but not defined herein shall have the same meanings as deemed in the Agreement.
