SCHINDLER, CITY MANAGER MICHAEL GRISSO, DIRECTOR OF PUBLIC WORKS SUBJECT: APPROVE CONSULTANT SERVICES AGREEMENT FOR ENGINEERING DESIGN SERVICES FOR JAMBOREE ROAD REHABILITATION PARKWAY PROJECT SUMMARY: Staff is recommending the City Council approve a Consultant Services Agreement with Michael Baker International for engineering design services for the Jamboree Road Rehabilitation Project and a Cooperative Agreement with the City of Irvine to establish each agency's cost -sharing responsibilities for improvements that fall within jurisdictional boundaries. RECOMMENDATION: It is recommended that the City Council: 1. Approve the Consultant Services Agreement with Michael Baker International for Engineering Design Services and authorize the City Manager to execute the Agreement on behalf of the City; and 2. Authorize the City Manager to approve change orders up to ten percent of the agreements negotiated fee to address unforeseen conditions; and 3. Authorize the Director of Public Works to approve a Cooperative Agreement with the City of Irvine for work within the City of Irvine's jurisdiction boundary, incorporating minor modifications as to form and approved by the City Attorney. FISCAL IMPACT: The Fiscal Year 2026-2027 Capital Improvement Program Budget has allocated $1,050,000 from Measure M2 Fair Share for the design phase for this project. The proposed Consultant Services Agreement with Michael Baker International includes a not -to -exceed total compensation amount of $541,390.00. Pursuant to the Cooperative Agreement, the City of Irvine will reimburse the City $77,000 for its proportionate share of the engineering design Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC City Council Agenda Report Consultant Services Agreement July 21, 2026 Page 2 services associated with improvements that occur within Irvine's jurisdictional boundaries, with the remaining $464,390 as Tustin's share. CORRELATION TO THE STRATEGIC PLAN: Rehabilitation of roadways and repair of sidewalks contributes to the fulfillment of the City's Strategic Plan Goal B: Public Safety and Protection of Assets. Specifically, the project implements Strategy #5, which among other items, is to ensure continuous maintenance and improvement of transportation facilities. BACKGROUND AND DISCUSSION: Jamboree Road is a regionally significant principal arterial corridor that traverses both the Cities of Tustin and Irvine, providing access for residents, commuters, businesses, and regional travelers between Interstate 5 and communities to the north and west. Jamboree Road is a divided eight -lane roadway with Class II bikeways in both directions and supports high traffic volumes, with Average Daily Traffic ranging from 19,100 to 67,000 vehicles. To provide continuous rehabilitation across the jurisdictional boundary, the Cities of Tustin and Irvine are partnering to rehabilitate the corridor to a project limit that extends to Michelle Drive, with the City of Irvine contributing its proportionate share of the design and construction costs for improvements. The proposed Cooperative Agreement formalizes each agency's responsibilities and cost -sharing responsibilities, including Irvine's reimbursement of $77,000 toward engineering design services and its proportionate share of future construction costs for improvements within its jurisdiction. The Jamboree Road Rehabilitation Project was awarded a $7,000,000 federal Surface Transportation Block Grant through the Southern California Association of Governments, administered by the Orange County Transportation Authority, to fund construction of the project. The proposed Consultant Services Agreement will provide the engineering design services necessary to advance the project to construction. The project scope includes pavement resurfacing on Jamboree Road between Michelle Drive and Portola Parkway, including localized removal and reconstruction of asphalt failure areas, cold milling and asphalt overlay, ADA curb ramp upgrades, utility cover adjustments, replacement of traffic signal detector loops, replacement of pavement markers and striping, and bicycle lane improvements to enhance safety. Staff developed a Request for Proposals (RFP) solicitation containing requirements and a scope of services detailing the need for professional engineering consulting services for the preparation of Plans, Specifications, and Engineer's Estimate. The RFP was published on April 30, 2026, on the City's electronic public procurement platform, OpenGov, and distributed directly to known consultants/firms providing these services. The RFP submission deadline was June 1, 2026, and the process yielded eight (8) proposals, with all eight qualifying for further review. Based on the firms were invited to participate in Following the interviews and completion of reference checks, the evaluation panel finalized the consultant rankings based on the following criteria: • Qualification and Experience of Firm • Approach and Work Plan • Qualifications and Experience of the project manager and other key individuals • Schedule of Delivery • Reference Checks Michael Baker International (MBI) was ranked as the top -rated proposer based on the proposal evaluation, interview, and reference checks. The evaluation panel determined that MBI demonstrated the strongest understanding of the City's project objectives, including delivery of a federally funded arterial rehabilitation project requiring coordination with Caltrans Local Assistance, environmental clearance, and preparation of a bid -ready Plans, Specifications, and Engineer's Estimate (PS&E) package. MBI also demonstrated extensive experience delivering similar roadway rehabilitation projects for local agencies, a long-standing working relationship with the City of Tustin, and a project team familiar with the corridor through their recently completed topographic survey. Their proposed costs are within the City's budgetary expectations. Based on these factors, staff is recommending the approval of the proposed Consultant Services Agreement with Michael Baker International for the engineering design services for the Jamboree Road Rehabilitation Project and approval of the Cooperative Agreement with the City of Irvine. Cooperative Agreement with the City of Irvine Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC ATTACHMENT 1 Consultant Service Agreement Docusign Envelope ID: 925292DA-3C22-836C-81 C8-1 E9AE2ED9AFC CONSULTANT SERVICES AGREEMENT This Agreement for Consultant Services (herein "Agreement") is made and entered into by and between the CITY OF TUSTIN, a municipal corporation ("City"), and MICHAEL BAKER INTERNATIONAL, INC., a Pennsylvania Corporation ("Consultant"). WHEREAS, City is in need of a qualified consultant to furnish professional engineering design services for the Jamboree Road Rehabilitation 1-5 to Portola Parkway (CIP No. 70263); and WHEREAS, Consultant is qualified to provide the necessary services and has agreed to provide such services to City; and WHEREAS, City has prepared a Request for Proposal (RFP) dated April 2026, a copy of which is attached hereto as Exhibit "A" (referred to herein as the "Request for Proposal".) WHEREAS, Consultant submitted to City a proposal, dated June 1, 2026, a copy of which is attached hereto as Exhibit "B" (referred to herein as the "Proposal".) WHEREAS, Consultant submitted to City a Fee proposal, dated June 1, 2026, a copy of which is attached hereto as Exhibit "C" (referred to herein as the "Fee Proposal".) NOW, THEREFORE, in consideration of the mutual agreements contained herein, City agrees to retain the services of Consultant, and Consultant agrees to provide consulting services as follows: SERVICES OF CONSULTANT 1.1 Proposal and Scope of Services. In compliance with all terms and conditions of this Agreement, Consultant shall provide those services specified in the Proposal (the "services" or the "work"). The standard of care for all professional services performed or furnished by Consultant under this Agreement will be the care and skill used by members of Consultant's profession practicing under similar circumstances at the same time and in the same locality (the "Standard of Care"). 1.1.1 Resolution of Inconsistencies Between Aareement and Proposal. In the event of any inconsistency between the terms contained in the Proposal and specific terms set forth in the main body of this Agreement, the terms set forth in the main body of this Agreement shall govern. 1.2 Compliance with Law. All services rendered hereunder shall be provided in accordance with all applicable Federal, state and local laws, ordinances, resolutions, statutes, rules, and regulations (collectively, the "Applicable Law".) 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC 1.3 Licenses and Permits. Consultant shall obtain at its sole cost and expense such licenses, permits and approvals as may be required by Applicable Law. 1.4 Familiarity with Work. By executing this Contract, Consultant warrants that Consultant (a) has thoroughly investigated and considered the work to be performed, (b) has investigated the site of the work and become fully acquainted with the conditions there existing, (c) has carefully considered how the work should be performed, and (d) fully understands the facilities, difficulties and restrictions attending performance of the work under this Agreement. Should the Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by the City, Consultant shall promptly inform City of such fact and shall not proceed with any work except at Consultant's risk until written instructions are received from the Contract Officer. 1.5 Care of Work. Consultant shall adopt and follow reasonable procedures and methods during the term of the Agreement to prevent loss or damage to materials, papers or other components of the work, and shall be responsible for all such damage until delivery of the work to the City. 1.6 Additional Services. Consultant shall perform services in addition to those specified in the Proposal when directed to do so in writing by the Contract Officer, provided that Consultant shall not be required to perform any additional services without compensation. Any additional compensation not exceeding ten percent (10%) of the original contract sum must be approved in writing by the Contract Officer. Any greater increase must be approved in writing by the City Manager. 2. COMPENSATION 2.1 Compensation of Consultant. For the services rendered pursuant to this Agreement, the Consultant shall be compensated and reimbursed only for such services and such amounts as are expressly prescribed in Exhibit "A", in amounts that cumulatively shall not to exceed One Hundred Fifteen Thousand Dollars ($115,000). Notwithstanding any provision to the contrary in Exhibit A, the City will not compensate or reimburse Consultant for travel expenses or travel time except specific travel time and expenses approved in advance in writing by the Contract Officer. 2.2 Method of Payment. In any month in which Consultant wishes to receive payment, Consultant shall, no later than the first working day of such month, submit to City in the form approved by City's Director of Finance, an invoice for services rendered prior to the date of the invoice. City will pay Consultant for all undisputed expenses stated thereon which are approved by City consistent with this Agreement, within thirty (30) days of receipt by the Director of Finance of the invoice. 2.3 Changes. In the event any change or changes in the work is requested by City, the parties hereto shall execute an addendum to this Agreement, setting forth with particularity all terms of such addendum, including, but not limited 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC to, any additional Consultant's fees. Addenda may be entered into: 2.3.1 To provide for revisions or modifications to documents or other work product or work when documents or other work product or work is required by the enactment or revision of law subsequent to the preparation of any documents, other work product or work; 2.3.2 To provide for additional services not included in this Agreement or not customarily furnished in accordance with generally accepted practice in Consultant's profession. 2.4 Payment for Changes. Changes approved pursuant to an Addendum shall be compensated at the personnel hourly rates prescribed in Exhibit "A" hereto. 3. PERFORMANCE SCHEDULE 3.1 Time of Essence. Time is of the essence in the performance of this Agreement. 3.2 Schedule of Performance. All services rendered pursuant to this Agreement shall be performed within any time periods prescribed in any Schedule of Performance attached hereto. The extension of any time period specified in the Schedule of Performance must be approved in writing by the Contract Officer, and which approval shall not be unreasonably withheld. 3.3 Force Majeure. The time for performance of services to be rendered pursuant to this Agreement may be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of the Consultant, including, but not restricted to, acts of God or of a public enemy, fires, earthquakes, floods, epidemic, quarantine restrictions, riots, strikes, freight embargoes, and unusually severe weather, if the Consultant shall within ten (10) days of the commencement of such condition notify the Contract Officer who shall thereupon ascertain the facts and the extent of any necessary delay, and extend the time for performing the services for the period of the enforced delay when and if in the Contract Officer's judgment such delay is justified, and the Contract Officer's determination shall be final and conclusive upon the parties to this Agreement. 3.4 Term. Unless earlier terminated in accordance with Section 7.5, 7.6, or 77 of this Agreement, the term of this Agreement shall be the shorter of: (a) the period of time described in the Schedule of Performance as the same may be extended pursuant to section 3.2, or (b) until satisfactory completion of the services. 4. COORDINATION OF WORK 4.1 Representative of Consultant. The following principal of the Consultant is hereby designated as being the principal and representative of Consultant authorized to act in its behalf with respect to the work specified herein and make all decisions in connection therewith: Steven C. Slocum ("Principal") It is expressly understood that the experience, knowledge, capability 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC and reputation of the foregoing Principal is a substantial inducement for City to enter into this Agreement. Therefore, the foregoing Principal shall be responsible during the term of this Agreement for directing all activities of Consultant and devoting sufficient time to personally supervise the services hereunder. The foregoing Principal may not be changed by Consultant without the express written approval of Contract Officer. 4.2 Contract Officer. The Contract Officer shall be the Deputy Director of Public Works/City Engineer. It shall be the Consultant's responsibility to keep the Contract Officer fully informed of the progress of the performance of the services and Consultant shall refer any decisions which must be made by City to the Contract Officer. Unless otherwise specified herein, any approval of City required hereunder shall mean the approval of the Contract Officer. 4.3 Prohibition Against Subcontracting or Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Therefore, Consultant shall not contract with any other entity to perform in whole or in part the services required hereunder without the express written approval of the Contract Officer. In addition, neither this Agreement nor any interest herein may be assigned or transferred, voluntarily or by operation of law, without the prior written approval of Contract Officer. 4.4 Independent Contractor. Neither the City nor any of its employees shall have any control over the manner, mode or means by which Consultant, its agents or employees perform the services required herein, except as otherwise set forth herein. Consultant shall perform all services required herein as an independent contractor of City and shall remain at all times as to City a wholly independent contractor with only such obligations as are consistent with that role. Consultant shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of City. Consultant shall be solely responsible for compliance with State and Federal Law with respect to the wages, hours, benefits, and working conditions of its employees, including requirement for payroll deductions for taxes. Employees or independent contractors of Consultant are not City employees. 5. INSURANCE / INDEMNIFICATION 5.1 Insurance. 5.1.1. Consultant shall maintain in full force and effect during the term of these Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $2,000,000 combined single limit coverage per occurrence. 5.1.2. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $2,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement with "prior acts" coverage covering all dates during the performance of the services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy. 5.1.3. Consultant shall carry and pay for such workers' compensation insurance as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall by endorsement waive all rights of subrogation against the City for losses paid under the policy. Consultant on its own behalf and on behalf of all those it may lawfully bind hereby also waives all rights of subrogation for losses or paid on behalf of others in connection with the performance of services under this Agreement. 5.1.4. Consultant shall, at no cost to the City, cause its insurer(s) to meet the following insurance requirements prior to the commencement of services. 5.1.4.1 By endorsement, name the City and its elected and appointed officials and employees as additional insureds on the commercial general and automobile liability policies. 5.1.4.2 The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, VII or better (if an admitted carrier) or A-, X (if offered, by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept workers' compensation insurance rated B-VIII or better or from the State Compensation Fund. 5.1.4.3 By endorsement, the insurer shall confirm that the Insurance shall not be cancelled except after thirty (30) days prior written notice from the insurer to the City, except in the case of non-payment of premium, in which case at least ten (10) calendar days prior written notice shall be provided from the insurer to the City. 5.1.4.4 The commercial general and automobile liability insurance shall each be primary as respects the City, and any other insurance maintained by the City shall be in excess of this insurance and not contribute to it. 5.1.4.5 The insurance payable by each insurance policy carried by the Consultant shall be the limits stated herein. 5.1.5. Upon execution of this Agreement, Consultant shall provide to City certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections 5.1.4.1, and 5.1.4.3, and 5.1.4.4 above and the waiver of subrogation requirement in Section 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC 5.1.3 above. If self -insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. 5.2 Indemnification. The Consultant shall defend, indemnify and hold harmless the City, its elected and appointed officers, employees, volunteers, and agents, and for any project pursued jointly with one or more other public agencies, the joint agency(ies) (collectively the "Indemnitees") from and against any and all actions, suits, proceedings, claims, demands, losses, costs, and expenses, including legal costs and attorneys' fees, for injury to or death of person or persons, for damage to property, including property owned by City (collectively "Claims") arising from errors, omissions or willful acts of Consultant, its officers, employees, subcontractors, subconsultants, and agents, and arising out of or related to Consultant's performance under this Agreement, except for such loss as may be caused by City's sole active negligence or willful misconduct, or that of one or more Indemnitees. 5.2.1 The Consultant shall also defend, indemnify and hold the City harmless from any claims or liability for City health and welfare, retirement benefits, or any other benefits of part-time or fulltime City employment sought by Consultant's officers, employees, or independent contractors, whether sought by legal action, administrative proceeding or pursuant to State statute. 5.2.2 If the Consultant is a "design professional" (as defined in California Civil Code section 2782.8) performing design professional services, then sections 5.2 and 5.2.1 above shall not apply, and Consultant shall instead indemnify and defend the Indemnitiees against all Claims that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Consultant or its employees or subconsultants, if any. When this section 5.2.2 applies, Consultant's cost to defend shall not exceed the proportionate percentage of fault of Consultant and its employees and subconsultants as determined by final judgment. 6. RECORDS AND REPORTS 6.1 Reports. Consultant shall periodically prepare and submit to the Contract Officer such reports concerning the performance of the services required by this Agreement as the Contract Officer shall require. 6.2 Records. Consultant shall keep such books and records as shall be necessary to properly perform the services required by this Agreement and enable the Contract Officer to document and evaluate the performance of such services. The Contract Officer shall have full and free access to such books and records at all reasonable times, including the right to inspect, copy, audit and make records and transcripts from such records. 6.3 Ownership of Documents. Upon Consultant's receipt of final payment, all drawings, specifications, reports, records, documents and other materials prepared by Consultant exclusively in the performance of this Agreement shall be the property of City, including all rights arising under Copyright and other 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81 C8-1 E9AE2ED9AFC intellectual property laws, and shall be delivered to City upon request of the Contract Officer or upon the expiration or termination of this Agreement, provided Consultant has received final payment under this Agreement, and Consultant shall have no claim for additional compensation as a result of the exercise by City of its full rights of ownership of the documents and materials hereunder. Consultant may retain a copy of such documents for its own reference, but no additional copy shall be made without the written consent from City. Notwithstanding anything to the contrary in this Agreement, Consultant retains all right, title and interest in and to any of Consultant's pre-existing and/or background Intellectual Property and/or any information that was in Consultant's possession prior to the execution of this Agreement. 6.4 Release of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant exclusively in the performance of services under this Agreement shall not be released publicly without the prior written approval of the Contract Officer. 7. ENFORCEMENT OF AGREEMENT 7.1 California Law. This Agreement shall be construed and interpreted both as to validity and to performance of the parties in accordance with the laws of the State of California. Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Orange, State of California, or any other appropriate court in the Count of Orange, and Consultant covenants and agrees to submit to the personal jurisdiction of such court in the event of such action. 7.2 Waiver. No delay or omission in the exercise of any right or remedy of a non -defaulting party on any default shall impair such right or remedy or be construed as a waiver. No consent or approval of City shall be deemed to waive or render unnecessary City's consent to or approval of any subsequent act of Consultant. Any waiver by either party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement. 7.3 Rights and Remedies are Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the parties are cumulative and the exercise by either party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party. 7.4 Legal Action. In addition to any other rights or remedies, either party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain injunctive relief, a declaratory judgment or any other remedy consistent with the purposes of this Agreement. 7.5 Termination Prior to Expiration of Term. The City reserves the right to terminate this Agreement at any time, with or without cause, upon written notice to Consultant. Upon receipt of the notice of termination, Consultant shall 4917-6916-9596, v. 1 Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC immediately cease all services hereunder except such as may be specifically approved in writing by the Contract Officer. Consultant shall be entitled to compensation for all services rendered prior to receipt of the notice of termination and for any services authorized in writing by the Contract Officer thereafter. 7.6 [RESERVED] 7.7 Non -Appropriation of Funds. City's financial obligations under this Agreement beyond the initial fiscal year, if any, are contingent upon the Tustin City Council's appropriation of funds for such purpose. If the Tustin City Council does not appropriate the necessary funds for the subsequent fiscal year, this Agreement shall terminate at the end of the then -most recent fiscal year for which funds were appropriated. The City shall provide Consultant with written notice of such non -appropriation at the earliest possible opportunity, but no later than thirty (30) days prior to the commencement of the new fiscal year, or as soon as the City Council's budget decision is finalized. In the event of termination under this section, City shall not be liable for any further payments, penalties, or damages (including loss of anticipated profits) for the periods following the date of termination. 7.8 [RESERVED] 8. CITY OFFICERS AND EMPLOYEES; NON-DISCRIMINATION 8.1 Non -Liability of City Officers and Employ. No officer or employee of City shall be personally liable to the Consultant, or any other party, in the event of any default or breach by the City or for any amount which may become due to the Consultant or its successor, or for breach of any obligation of the terms of this Agreement. 8.2 Covenant Against Discrimination. Consultant covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination or segregation in the performance of or in connection with this Agreement regarding any person or group of persons on account of race, color, creed, religion, sex, marital status, national origin, or ancestry. Consultant shall take affirmative action to ensure that applicants and employees are treated without regard to their race, color, creed, religion, sex, marital status, national origin, or ancestry. 9. MISCELLANEOUS PROVISIONS 9.1 Notice. PROJECT DESCRIPTION The City of Tustin is seeking professional engineering consulting services for the preparation of Plans, Specifications, and Engineer's Estimate (PS&E) for the Jamboree Road (Michelle Drive to Portola Parkway) rehabilitation and improvement project. The Consultant shall prepare a streamlined, bid -ready PS&E package appropriate for a 2- mile arterial rehabilitation project, avoiding unnecessary sheet proliferation while maintaining full compliance with City standards and federal funding requirements. Any proposed deviation from this assumption must be identified by the Consultant at the 30% design stage. V. PROPOSAL REQUIREMENTS Although the City requires no specific format, this section is intended to provide guidelines to the consultant regarding features that the City will look for and expect to be included in the proposal. A. CONTENT & FORMAT The City requests that proposals submitted be organized and presented in a neat and logical format and are relevant to these services. Consultant's proposals shall be clear, accurate, and comprehensive. Excessive or irrelevant material will not be favorably received. The Proposal shall be limited to a maximum of 20 pages (excluding front and back covers, section dividers and attachments such as resumes, forms). Font size shall be minimum 1 1-point Arial. Proposal exhibits shall be maximum 1 1" x 17". The purpose of these restrictions is to minimize the costs of proposal preparation and to ensure that the response to the RFP is fully relevant to the project. The proposal should include the following: • Page numbering, • Approach and understanding of the work to be performed, • Team Organization including an organization diagram and time commitment of key staff, • Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract, • Brief resumes of key staff, • Schedule of Hourly Rates and fees uploaded as a separate file from the main proposal in OpenGov, • Three references of agencies previously contracted with, providing the same or similar services. B. APPROACH A description of the firm's approach and work program to meet the City's objectives shall be included. Information shall include: • Progress Reporting: Consultant will supervise, coordinate, monitor and review the project for conformance with standards, policies, and procedures. Monthly progress reports will also be provided to document the progress of the project. Progress reports must align with invoices. The City may reject invoices not supported by an acceptable progress report. Failure to provide an acceptable progress report may result in delayed or withheld payment. Progress report should include: o Work completed by task o Percentage complete by task vs. budget o Updated schedule with critical path o Budget status (hours used vs. planned) o Upcoming work (next 30 days) o Issues / risks impacting scope, schedule, or budget • Project Controls: Consultant shall prepare a detailed project schedule (MS Project or equivalent) within 2 weeks of Notice to Proceed. The schedule shall identify all tasks, milestones, and critical path and shall be updated monthly throughout the project duration. Describe the firm's ability to control costs and provide accurate and timely invoices through internal control measures; to monitor and stay within budget; to monitor schedule and review times and describe the techniques used to complete projects within the proposed time frames. • Proposal Certifications a. Status meetings will be conducted throughout the duration of the project to track the overall project and facilitate the flow of information between the City and consultant. • Deliverables Matrix: the proposal shall include a deliverables matrix that identifies: o All anticipated deliverables by task o Submittal milestones: 30%, 60%, 90% and 100%. o Format (PDF, CAD, Word, etc.) o Responsible team member C. TEAM ORGANIZATION The purpose of this section is to describe the organization of the project team including subconsultants and key staff. A project manager and an alternate project manager who will be the prime contact and be responsible for coordinating all activities with the City should be included. An organization diagram shall be submitted showing all key team members and illustrating the relationship between the City, the project manager, key staff, and subconsultants. There also should be a brief description of the role and responsibilities of all key staff and subconsultants identified in the team organization also should be included. D. STATEMENT OF QUALIFICATIONS The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. The projects listed should be those that the key staff named for this project were responsible for performing. Information shall include: • Names of key staff that participated on named projects and their specific responsibilities. • The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Completion dates (estimated, if not yet completed). • Total costs of the projects. There should be included in the section brief resumes of key personnel who will provide these services demonstrating their qualifications and experience. Resumes should highlight education, relevant experience, licenses, and specific responsibilities for services described. FEDERAL FUNDING REQUIREMENTS Failure to comply to the following guidelines may result in termination and/or ineligibility for federal reimbursement. Consultant shall prepare PS&E in a manner consistent with Caltrans Local Assistance expectations for federally funded projects, including documentation necessary to support ROW certification, FHWA authorization, and audit compliance. 1. Federal Aid Contract Provisions: Proposers are advised that this project is federally funded and they shall comply with all federal requirements in the Agreement, including but not limited to 2 CFR Part 200 (Uniform Guidance), NEPA support documentation, Audit cooperation (Caltrans, FHWA, etc.). 2. FEE PROPOSAL Compensation for services provided shall be based upon the consultant's detailed fee proposal to furnish the services detailed in their proposal. A Fee Proposal shall be submitted in a separate file from the main proposal in OpenGov. A work program together with a breakdown of labor hours by employee billing classification together with the cost of non -labor and subconsultant services shall be included with the fee proposal. The labor breakdown shall be compiled based upon a listing of work tasks that correlates with the consultant's defined scope of work for the project proposal. This information will be used by the City staff to evaluate the reasonableness of the fee proposal and may be used in negotiating the final fee amounts for the contract agreement. Fees will not be used to determine the ranking of the consultants. The City will negotiate the final fee with the top ranked consultant. Reimbursable expenses shall not be allowed unless negotiated prior to a contract. Price escalations during the contract term are disfavored and will not be allowed unless negotiated prior to execution of contract. The consultant shall prepare progress billings, reflective of the project schedule and the scope of work completed, by line item and description. G. ASSUMPTIONS AND EXCEPTIONS The proposal shall clearly identify any assumptions, exclusions, or exceptions to the Scope of Work, schedule, or requirements of this RFP. If no assumptions or exceptions are taken, the proposal shall include a statement to that effect. The City reserves the right to accept, reject, or negotiate any proposed assumptions or exceptions. Undisclosed assumptions may not be considered during contract negotiation. Assumptions or exceptions that materially affect scope, schedule, or cost may result in reduced evaluation scoring. H. STATEMENT OF OFFER & SIGNATURE The Proposal shall contain a statement that the proposals are a firm offer for a 90-day period and signed by an individual authorized to act on behalf of the firm. VI. GENERAL REQUIREMENTS A. INSURANCE REQUIREMENTS The consultant shall furnish proof of the required insurance coverage prior to execution of the agreement. Any exceptions, deviations, or inability to meet the insurance requirements must be clearly identified in the proposal. These minimum levels of coverage are required to be maintained for the duration of the project: 1. General Liability and Automobile Liability Coverage - $2,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. 2. Professional Liability Coverage - $2,000,000 per occurrence (note: A "claims made" policy is acceptable). If consultant provides "claims made" coverage, consultant shall also agree in writing to either: a. Purchase Tail Insurance in the amount required by the resulting agreement to cover claims made within five years of completion of consultant's services under the agreement. b. Worker's Compensation Coverage - State statutory limits. Deductibles, Self -Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Tustin. The consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. The City shall be named as Additional Insured and no policy may be modified or cancelled prior to thirty (30) days written notice. Certificates of insurance and insurer endorsements evidencing the required insurance shall be provided. B. STANDARD FORM OF AGREEMENT The consultant will enter into an agreement with the City based upon the contents of the RFP and the consultant's proposal. The City's standard form of agreement is included as Attachment A. The consultant shall carefully review the agreement, and include with the proposal a description of any exceptions requested to the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. C. DISCLAIMER This RFP does not commit the City to award a contract, or to pay any costs incurred in the preparation of the proposal. The City reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified consultant, or to cancel this RFP in part or in its entirety. The City may require the selected consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. D. ASSIGNED REPRESENTATIVES The City will assign a responsible representative to administer the contract, and to assist the consultant in obtaining information. The consultant also shall assign a responsible representative (project manager) and an alternate, who shall be identified in the proposal. The City's representative shall first approve any substitution of representatives or subconsultants identified in the proposal in writing. The City reserves the right to review and approve/disapprove all key staff and subconsultant substitution or removal and may consider such changes not approved to be a breach of contract. E. CITY BUSINESS LICENSE A city business license will be required of the consultant and any subconsultants for services under this agreement. VII. CONSULTANT EVALUATION & SELECTION PROCESS The City's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points) based upon the weighting indicated below: a. Qualification and Experience of Firm (15 points) b. Approach and Work Plan (including project controls and QA/QC processes) (35 points) c. Qualifications and Experience of the project manager and other key individuals (35 points) d. Schedule of Delivery (5 points) e. Reference Checks (10 points) The City may elect to interview a short list of qualified firms or to interview only the top -rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the best qualified firm for the desired consulting services. Should the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. Additional information related to the consultant selection process will be made available in the future once the City has executed this contract. Deputy Project Manager, David Hoopfer, PE, walked the length of Jamboree Road between Michelle Drive and Portola Parkway to observe and photo document some of the existing conditions, guiding our approach. Based on his observations, the existing pavement shows signs of distress that include alligator cracking, longitudinal and transverse cracking, and raveling and weathering of the asphalt surface. Critical Issues One of the key components of this project is to extend the bike lane in the southbound direction to El Camino Real. This is challenging due to right-of-way restrictions. The land on the west and east sides of Jamboree Road is private property owned by a private developer. In order to add a bike lane in the southbound direction at the Jamboree Road/El Camino Real intersection, the southbound travel lanes will need to shift to the east and the median will need to be reduced as shown in Exhibit 1. This solution presents the following challenges: 0 The southbound lanes on the north and south sides of the intersection will need to shift to the east to create room for a bike lane. The medians on the north and south sides of the intersection will need to be modified to accommodate the lane shifts. ©Existing trees may need to be removed from the existing median and new landscaping and irrigation may be required. A monument sign within the median will need to be relocated. 0 The lane shift on the south side of the intersection will extend into Caltrans right-of-way. Our team will utilize Non -Destructive FWD Deflection Testing, Ground Penetrating Radar (GPR), and pavement coring at 33 specific locations to facilitate our understanding of the existing pavement condition. In addition, if the City considers that further pavement investigation is warranted, the team will provide testing to supplement the coring data. A digital map of the project pavement areas will be generated utilizing the GPR data to illustrate the true limits of damaged structural pavement. Based on the information obtained from our investigation activities, the Michael Baker team will perform laboratory testing and perform TI calculations to establish proposed structural pavement section(s). The team will prepare an engineering cost analysis for up to three alternative pavement systems for projected service lives of 10-years and 20-years, respectively. The pavement systems will incorporate alternative surface treatments to address long-term maintenance and durability over the anticipated life of the pavement. Figure 3. Eric Spangler, PE, TE, will be responsible for developing the schedule and then monitoring it on a weekly basis. This schedule will include all tasks, milestones, reviews, project deliverables, and critical path, and will be updated monthly throughout the duration of the project. It will also identify tasks that are critical to maintaining the project schedule. If tasks fall behind schedule, Eric will make staffing adjustments as necessary. Michael Baker will comply with the Caltrans Local Assistance Procedures Manual (LAPM) requirements to ensure smooth reimbursement of any grant funding. Our team understands that successfully managing costs on a project starts well before the project even begins. The following are key areas we will focus on: Scope and Fee Preparation: Our scoping documents are carefully prepared and our design budgets are reviewed by multiple staff prior to finalizing the costs. This will allow for budgets that represent the appropriate level of effort to complete tasks. Identify key project quality roles and resources 2. Subconsultant Control All subconsultants are identified in this proposal. The subconsultant LaBelle Marvin, Inc. (LMI) will meet with the Deputy Project Manager on a monthly basis while the subconsultant's scope of work is being performed. Michael Baker will maintain one point of contact with the subconsultant, require the subconsultant to adhere to the QA/QC procedures, and require a monthly progress report detailing work completed by task, percentage complete by task versus budget, updated schedule, budget status, upcoming work, and issues/risks impacting scope, schedule, or budget. Implementation Phase Project coordination is essential to the successful completion of this project. Michael Baker will coordinate between the project development team and project stakeholders throughout the entire project duration, which is projected to last for 15 months. A project kickoff meeting will be conducted within three (3) weeks of notice -to -proceed (NTP) to confirm Scope of Services and design parameters. Status meetings will be held monthly throughout the duration of the project to track progress and facilitate the flow of information between the City and Michael Baker. Figure 4. Quality Verification Forms (QVF) are created for all City Submittals to provide quality and accuracy. INTERNATIONAL ENGINEERING DESIGN SERVICES FOR JAMBOREE ROAD REHABILITATION Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC CITY OF TUSTIN , CIP NO. 70263 Scope of Work Task 1: Project Management, Meetings,and Coordination 1.1 COORDINATION MEETINGS Within three weeks of receiving the NTP, Michael Baker will organize a project kickoff meeting with the City to discuss project scope and schedule, understand concerns relative to project delivery, and other items to initiate the project. Michael Baker will organize and attend other meetings to complete the design. The fee has been established based on an initial estimate of one (1) kickoff meeting, fifteen (15) monthly progress meetings and four (4) miscellaneous meetings for this project. Michael Baker will prepare agendas and meeting minutes and will distribute them to the City and other attendees or organizations, as required. We are budgeting 3 hours for each meeting to account for pre - and post -meeting activities. 1.2 PROJECT COORDINATION AND MANAGEMENT Michael Baker will prepare a detailed project schedule (MS Project or equivalent) and update it on a monthly basis. The schedule will identify all tasks, milestones, and a critical path. Monthly progress reports will be prepared and submitted to the City with invoices. Progress reports will include work completed by task, percentage complete by task versus budget, updated schedule with critical path, budget status, upcoming work, and issues/risks impacting scope, schedule, or budget. Task 2 — Field Visit and Site Assessment Michael Baker will conduct a site visit, meet with the City at the site, review pavement rehabilitation strategies, and review ADA improvements to better understand the existing conditions and improvement optimization. We will photo -document the street within the project limits to inventory existing signs, pavement markings, striping, and painted curb. Michael Baker will create a photo log of key project areas. Task 3 — Research and Review of Available Data Michael Baker will research, obtain, and review all available data as a reference to prepare the preliminary and final Plans, Specifications, and Estimates (PS&E). Data will include, but is not limited to: State, County, City, utility, and other records/ documents; existing street, traffic signal, storm drain, gas, sewer, and water main improvement plans; topographic data maps, record drawings; wet and dry utility plans; geotechnical reports; survey centerline and private property monument data; and other pertinent information. Utility research and coordination will be performed by the City and provided to Michael Baker. Michael Baker will plot available information into base maps for use in the design plans. Michael Baker will prepare a table summarizing the obtained data and submit a copy to the City and utility agencies. Michael Baker will review this information with the City prior to beginning preliminary design. Task 4 - Structural Pavement Investigation with Design Alternatives and Report Michael Baker's team includes pavement design and rehabilitation experts from LMI on this project. The following proposed structural investigation will utilize a combination of in -place deflection strength testing, by FWD, defining current roadway strengths combined with the proposed pavement core sampling to explore and define present street conditions, layer thicknesses and where detectable, prior resurfacing history. Laboratory soil strength testing, projections of future traffic use, in conjunction with in -place strength testing, will be utilized to develop appropriate replacement sections with current structural needs providing cost effective reinforcement alternatives and innovative pavement solutions, i.e. Asphalt Concrete Rubber Hot Mix Overlays, Full Depth Reclamation (FDR) or Cold In Place Recycling (CIR). 4.1 IN -PLACE DEFLECTION TESTING AND GPR THICKNESS SCANNING Non -Destructive Pavement Deflection (CA 356) data will be gathered from each existing traveled lane, at 100' to 200' testing intervals, using LaBelle Marvin Inc.'s JILS FWD equipment, imposing a series of 9,000 pound loads per California Test Method 356. LMI's FWD testing equipment, operator, and recordS will be provided by LMI. Data obtained will include ten (10) sensor readings recorded within the deflection basin at each test point. Pavement deflection sensors are generally spaced 6" to 12" on center, defining the specific pavement deflection basin under loading. During deflection testing operations, notes of visual pavement conditions and/or distress, cross streets, presence or absence of curb and gutter, and other such observations will be logged. Correlating data will include pavement temperature and GPS documentation at each test location. INTERNATIONAL ENGINEERING DESIGN SERVICES FOR JAMBOREE ROAD REHABILITATION Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC CITY OF TUSTIN I CIP NO. 70263 Data Analysis will provide a typed tabulation of all deflection measurements and field notes locating cross streets, pertinent landmarks, field conditions, etc will be included within the final report. The tabulation will include the reading of all sensors, as well as an equivalent Traveling Deflectometer deflection at the loading point. GPR data will supplement pavement core thickness information providing a better understanding of historical as -built section, changes in section, and as importantly location of change. This is a substantial cost saving to the City while providing greater thickness information. The measured asphalt concrete pavement thickness shall be scanned twice every linear foot mapped by depth and location and provided onto aerial imagery for geo-referencing. This information is critical to the design team, where proposed resurfacing is forecasted. 4.2 PAVEMENT CORING AND SOIL BORING A total of thirty-three (33) pavement coring and subsurface sampling locations will be performed at pre -selected locations to determine the thickness of the existing structural section including but not limited to asphalt concrete layer(s), buried Portland cement concrete layer(s) if any, and aggregate base layer, if any. Borings extend to a maximum three (3') foot depth from finish surface. Underground Service Alert (USA Dig -Alert) will be notified and a meeting held, if requested, with concerned utilities to relocate test sites as necessary. Sample locations will be backfilled and patched with asphalt concrete, per City requirements. ■ All samples will be labeled and transport back to our certified Caltrans and AASHTO accredited materials laboratory for further analysis. ■ Professional Traffic Control will be provided per WATCH/MUTCD standards. 4.3 LABORATORY MATERIALS TESTING Subgrade soil samples taken in the field will be identified, labeled, and measured during the sampling process. Samples will be transported back to LaBelle Marvin's Caltrans certified soils and asphalt laboratory. Data developed during the laboratory testing will be utilized to project probable field support conditions during construction and highlight where appropriate special care may be required during roadway preparation. Evaluation of the present pavement thicknesses utilizing component analysis with R-value data will be combined with future traffic estimates (Traffic Index provided by City) for design and development of suitable, alternative replacement sections. Laboratory tests included within this investigation are as follows: Moisture Content Tests (CA 226): Subgrade soil samples taken in the field will be visually classified and the in -situ moisture content will be determined per location. R-Value Tests (CA 301): Representative sample(s) will be selected and tested for R- Value (soil strength) determinations on the subgrade. A total of three (3) R-values will be performed. 4.4 VISUAL SITE EVALUATIONS John Warrick, PE, will perform a site evaluation of all asphalt concrete segments. Pavement conditions will be recorded for the purposes of compiling the recommendation plan(s) and report. LMI will compare field conditions with thickness data obtained during core sampling and with component analysis based on laboratory subgrade strength testing, deflection testing, and GPR thickness scanning. 4.5 STRUCTURAL DESIGNED REHABILITATION ALTERNATIVES John Warrick will supervise all operations and incorporate results of deflection and materials testing with observed pavement conditions. Engineered recommendations for alternate methods of pavement rehabilitation for the lane(s) studied based upon deflection analysis in conjunction with the proposed materials investigation will be provided. A minimum of three (3) pavement rehabilitation strategies, if feasible, will be developed meeting current structural needs and reinforcement requirements based upon the California Highway Design Manual for Flexible Pavement and Roadway Rehabilitation. Where sustainable/innovative pavement solutions are considered, Full Depth Reclamation (FDR) or Cold -In - Place Recycling (CIR) will be explored within the final report. The deliverables will include all data developed during the investigation with design rehabilitation alternatives; structural replacement sections for areas of reconstruction, in -place strength testing data and field and laboratory test data. All services will be supervised by the Civil Engineer specializing in the evaluation and design of pavement systems and Registered in the State of California. Task 5 — Water Quality Management Plan 5.1 DRAFT WATER QUALITY MANAGEMENT PLAN (WQMP) Michael Baker will develop the concept level WQMP in accordance with the criteria of the County of Orange and the City of Tustin MS4 requirements. Due to groundwater contamination in the area and space constraints within City right of way, it is assumed that proprietary devices will be installed as water quality BMPs in two (2) locations. The draft WQMP will address BMP selection and proposed location for BMPs. 5.2 FINAL WATER QUALITY MANAGEMENT PLAN Based on the comments received from the draft WQMP, Michael Baker will prepare a final WQMP report which will include water quality BMP design and details so they are constructable in the field. The WQMP plans and details will be part of the PS&E set. Michael Baker will also prepare an Operation and Maintenance Plan for the water quality BMPs. Table 1. Task 7 Drawing Sheet List Task 6 - Geometric Approval Drawing (GAD) Exhibits for Bike Lane Improvements Michael Baker will prepare two (2) GAD Exhibits for review and coordination with the City. One exhibit will be prepared for a design option with no right-of-way impacts as shown in Exhibit 1. This option is what this Scope of Services is based on. A second GAD exhibit will be prepared showing roadway widening, right-of- way acquisition, and utility relocations for the City's consideration. This option is not included in the PS&E portion of this Scope of Services. Task 7 — Preliminary Engineering (30% Design) Michael Baker will prepare a CAD basemap of the existing condition. Existing curb lines and striping will be drawn in CAD using a combination of the survey topography (provided by the City), high resolution aerial photographs, and As -Built plans. Upon completion of the basemap, Michael will prepare 30% design plans that include a title sheet, general notes, typical sections, demolition and disposition, median modifications, curb ramp replacement, water quality BMP's, conceptual striping, conceptual traffic signal modifications, and conceptual landscaping. The plans will address limits of pavement rehabilitation and identification of pavement treatment strategies. Traffic signal loop replacement will be shown on the signing and striping plans with the exception of the Jamboree Road/El Camino Real intersection, which will be shown on the traffic signal modification plan for this intersection. The plans will identify up to three (3) ADA curb ramps that will be replaced due to damage or non- compliance with ADA requirements. A list of anticipated sheets is provided in Table 1, below. Technical specifications will be prepared conforming to 2024 Greenbook Standards. It is assumed that the City will provide front-end bid specifications to be included in the project specifications. The technical specifications will be prepared to restrict the Contractor to certain construction timelines, coordination with bus schedules, and require coordination with the utility owners within the project. Task 7B - NEPA Support Services Michael Baker will conduct a database search of the California Department of Fish and Wildlife's California Natural Diversity Database (CNDDB), the California Native Plant Society's Inventory of Rare and Endangered Plants of California (RPI), and the U.S. Fish and Wildlife Service's Information for Planning and Consultation (IPaC) project planning tool, Critical Habitat online mapper, and National Wetlands Inventory (NWI) mapping to identify any special -status or sensitive biological resources known to occur within the vicinity of the project site. Michael Baker will also review historic/current aerial photographs and topographic maps to assess existing site conditions and any ecological changes that have occurred within the project sites. Following the literature review, Michael Baker will conduct a field survey of the project site to document baseline biological conditions. Michael Baker will then prepare a biological resource memorandum summarizing the information and results obtained during the literature review and field survey; document plant, wildlife, and vegetation communities observed; and determine the potential for any special -status species or sensitive resources to occur on or within the vicinity of the project site. Site photographs taken during the field survey and Geographic Information Systems (GIS) figures will be included in the report to further enhance written text and visually identify specific biological information as it relates to the project site. In addition, the memo report will analyze potential project -related impacts to biological resources, and identify any additional biological surveys, mitigation measures, and/or regulatory approvals that may be required. The analysis of biological resources will be prepared to support a Categorical Exclusion pursuant to NEPA. Task 8 — Intermediate Engineering (60% Design) Michael Baker will refine the design and prepare 60% plans incorporating City review comments and advancing all design elements to a level suitable for detailed review and inter -agency coordination. The 60% design will advance geometric design, including lane configurations, transitions and tie-ins and signing and striping plans, including striping layouts, legends, and sign schedules. Michael Baker will develop preliminary traffic control concepts for construction staging in order to provide sufficient notes/specifications for contractor -prepared traffic control plans. As part of the 60% Design Submittal, a constructability review and quality control review will be performed. Task 9 — Final Plans, Specifications and Estimate (PS&E) Michael Baker will prepare complete, bid -ready PS&E documents suitable for advertisement and constructions. The 90% submittal shall represent a near -final set of documents suitable for comprehensive City review. No new design elements, scope changes, or major revisions shall be introduced at the 90% submittal unless specifically requested by the City. The 90% submittal shall incorporate all previous comments and finalize all design elements, quantity calculations, construction bid item breakdowns, and project specifications. As part of the 90% Design Submittal, a constructability review and quality control review will be performed. The 100% submittal shall incorporate all final City comments, and Michael Baker will deliver signed, sealed, and complete PS&E documents. All deliverables will be made to the City in PDF format and transmitted to the City electronically. Task 10 Caltrans Encroachment Permit Processing Michael Baker will process an Encroachment Permit through the Caltrans District 12 permits office. Plans will be prepared to City of Tustin standards in Autocad format. Caltrans standard plans will be utilized for traffic control measures. This task assumes only standard design features will be proposed within Caltrans right-of-way and excludes the preparation and processing of any Design Standard Decision Documents (DSDDs) both for existing and proposed design features. Coordinate all efforts with the City. Task 12 Construction Support 12.1 SHOP DRAWING REVIEW Michael Baker will process submittals, including receipt, review, and appropriate action on shop drawings, product data, samples, and other submittals for conformance with the intent of the contract documents. Michael Baker's comments on such vendor data will be provided to the City's general contractor for further processing. Multiple reviews of re -submittals that do not adequately address the initial review comments are not included in this Scope of Services. 12.2 CONSTRUCTION PLAN INTERPRETATION Michael Baker will provide plan interpretation of plans prepared by Michael Baker and recommend plan revisions based upon field conditions encountered during construction. Michael Baker will also review and assist City in evaluating the contractor's change order requests for Michael Baker's design improvements. 12.3 CONSTRUCTION MEETINGS AND OBSERVATION Michael Baker will attend field meetings at the City's request to observe the progress of construction and report on the construction's substantial compliance with plans prepared by Michael Baker. 12.4 PUNCH LIST, APPROVAL AND CLOSEOUT At 100% completion of design improvements, Michael Baker will perform a final field walk and comment on the improvements as to conformance with the plans prepared by Michael Baker and assist the City in obtaining final acceptance of improvements by the City. The final field walk will be performed at City's request with City or it's representative and Contractor's superintendent. Task 13 Record Drawings Michael Baker will revise the plans approved by the City for the Project, based upon field changes and revisions Michael Baker prepared (redlined prints) as provided by the City's Contractor. PDF copies and CAD Format of Final Record and Project Drawings will be provided to the City. Assumptions: ■ The City will provide all survey data needed for this Project. ■ The City will provide centerline and right-of-way information for this Project in CAD. ■ The City will be responsible for providing utility coordination with all affected utilities. ■ The City has performed utility research and will provide Michael Baker with utility as-builts. ■ The City will provide a template for Sections A-D of the Specifications. ■ The City of Irvine is preparing design plans for the intersection of Jamboree Road and Irvine Boulevard. Agreement with the City of Irvine Docusign Envelope ID: 925292DA-3C22-836C-81 C8-1 E9AE2ED9AFC COOPERATIVE AGREEMENT FOR JAMBOREE ROAD REHABILITATION PROJECT This COOPERATIVE AGREEMENT FOR JAMBOREE ROAD REHABILITATION PROJECT (MICHELLE DRIVE TO PORTOLA PARKWAY) ("Agreement") is made and entered into as of July 21, 2026 ("Effective Date") by and between the City of Irvine ("Irvine") and the City of Tustin ("Tustin"). Irvine and Tustin are sometimes individually referred to as "Party" and collectively as "Parties." RECITALS A. WHEREAS, the pavement condition on Jamboree Road between Michelle Drive and Portola Parkway requires rehabilitation, and B. WHEREAS, the jurisdictional boundary between Irvine and Tustin runs through this segment of Jamboree Road, and C. WHEREAS, the Parties desire to share the cost of said rehabilitation of Jamboree Road, hereinafter referred to as the "Project". The cost of design of the Project will be proportionately funded by Irvine and Tustin based on percentage of Project area within each city's jurisdiction. The cost of construction will be based on the actual cost of the work within each City's jurisdiction. NOW, THEREFORE, in consideration of the above recitals, which are incorporated herein by reference, and the mutual covenants set forth below, the Parties hereby agree as follows: AGREEMENT 1. Lead Agency. Tustin will be the lead agency under CEQA, for the final design and construction phase of the Project. 2. Payment of Contributions. a. Eighty -Five and eight tenths percent (85.8%) of the Project area is located within Tustin; Fourteen and two tenths percent (14.2%) of the Project area is located within Irvine. Irvine and Tustin will each contribute one hundred percent (100%) of the construction costs for work completed within each respective jurisdiction. The cost of design and construction administration will be proportionately funded by Irvine and Tustin based on percentage of Project area within each City's jurisdiction. The total Project costs are estimated to be $13,500,000, with Tustin's estimated cost to be $12,300,000 and Irvine's estimated to be $1,200,000. Such estimates are Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC provided for illustration purposes only, and do not limit each Party's payment obligation under this Agreement. b. Tustin shall invoice Irvine for payment of their share of costs at the end of the construction phase of the Project. Irvine agrees to pay all non -disputed and costs approved by Irvine within thirty (30) days of receipt of said invoice. Tustin shall provide a final accounting of all Project costs associated with the Irvine portion of the Project to Irvine within thirty (30) days after the Parties accept the Project as complete. 3. Final Desian Phase. a. In the final design phase, Tustin shall cause the preparation of the final design plans, engineer's estimate, specifications, and special provisions for the Project. Plans, specifications, and special provisions shall be prepared pursuant to Irvine's latest standard plans and specifications for the portions of the Project within Irvine. The engineer's estimate shall show the separation between Irvine improvements and Tustin improvements. Irvine shall review the engineer's estimate and review and sign the final design drawings for the Project within Irvine prior to bid advertisement. Tustin and Irvine agree to reasonably cooperate in resolving any disputes over the final design drawings. 4. Agency Review of Documents. Tustin and Irvine shall each incur their own costs associated with the plan check and review of all documents. 5. Construction. a. In the construction phase, Tustin shall be responsible for the final construction documents, construction, and all construction related activities for the Project. b. The Project shall include separate bid items between Tustin and Irvine for all direct construction costs. All indirect construction costs that are not separated shall be allocated between Tustin and Irvine in accordance with Paragraph 2(a). c. Costs associated with construction inspection of the Project within each respective jurisdiction shall be included in the Project costs, not to exceed 15% of the construction costs. d. Irvine shall allow Tustin, its representatives, agents, and contractors access to portions of the Project site within Irvine right-of-way with an approved Irvine permit as stated in Section 7 and on private property within Irvine Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC boundaries once easements are secured with the applicable property owner(s). Tustin shall allow Irvine staff reasonable access to the Project site, at all reasonable times and upon advance notice, to perform observations of any work on the Irvine portion of the Project. Tustin shall provide copies of all easements that were secured with the applicable property owner(s) located within Irvine boundaries prior to commencement of construction. e. Tustin shall notify Irvine of the official advertising dates, bid opening date, contract award date, construction start date, and overall construction schedule. Tustin shall invite a representative from Irvine to attend pre - construction, Project status and final walk-through meetings. f. To the extent permitted by applicable laws and regulations, City of Irvine special provisions, and Traffic Control Plans reviewed and approved by City of Irvine, Irvine shall allow necessary closures to construct the Project improvements. Tustin shall provide notice to Irvine 2 weeks prior to any closure of Irvine streets. g. Tustin shall require that its contractor for Project construction provide the necessary insurance coverage for construction of the Project and shall require the independent contractor to name Irvine, its elected officials, officers, employees, agents and representatives as additional insureds on the contractor's commercial general liability and business automobile liability policies, and that the contractor indemnify Irvine, its elected officials, officers, employees, agents, and representatives to the same extent that Tustin is indemnified. h. Tustin shall provide Irvine final Record Drawings for the Project improvements in pdf format as well as electronic CADD files in AutoCAD format, within 90 calendar days of the project completion and acceptance. i. Tustin shall record a Notice of Completion for the Project and provide Irvine's clerk with a certified copy of the recorded Notice of Completion. Upon receipt of such Notice of Completion, Irvine shall accept full maintenance and upkeep responsibilities for the Project improvements that are located within the City of Irvine. j. Tustin shall cause its contractor for Project construction to warrant the Project against defects in workmanship and materials for a minimum period of one (1) year from the date of acceptance of the Project. It is further agreed that Tustin shall assume the responsibility for causing the Project to be restored to full compliance with the plans and specifications, including any Docusign Envelope ID: 925292DA-3C22-836C-81 C8-1 E9AE2ED9AFC test requirements, for any portion of the Project during which said one year period are found by Irvine or Tustin not to conform with the plans and specifications. This warranty is in addition to any and all other warranties, expressed or implied, with respect to the Project. The warranty and obligations under this section shall in no way be relieved by Tustin's inspection and/or approval of the whole or any part of the Project. Tustin shall include a clause in its contract with the contractor on the Project that Irvine is an intended third -party beneficiary of the construction contract. 6. Prior Rights. Wherever possible, Irvine and Tustin shall take the necessary actions to exercise and secure its prior rights over all utilities or facilities requiring relocation within their respective jurisdiction in accordance with this Agreement. 7. Encroachment Permit. Tustin shall require that its contractor for Project construction obtain encroachment permit from City of Irvine and comply with all the permit requirements. Irvine agrees to issue a no fee encroachment permit authorizing entry onto Irvine for the Project. 8. Actual Project Cost. Irvine agrees that its contribution for the Improvement shall be based on the actual construction costs for Irvine's share. 9. Actual Project Costs Exceed Estimates. Tustin agrees to provide the bid summary for work on the Irvine portion of the Project to Irvine for review and approval prior to award of construction contract. In the event the lowest, responsive, and responsible contractor's construction bid exceeds 10% of the Engineer's Estimate, both Tustin and Irvine agree to: (1) meet and determine possible Project revisions to reduce costs and rebid the Project, or (2) provide the additional funding. In the event the actual project cost exceeds the engineer's estimate by 10% or less, both Tustin and Irvine agree Irvine will provide the additional funding based on Section 2. 10. Chance Orders and Additional Consultina Services. a. Change orders and additional consulting services affecting Irvine shall be reviewed and subject to written approval by Irvine prior to granting approval. Costs related to such change orders will be reimbursed by Irvine based on the share percentage stated in Section 2. b. If either agency requests additional changes that are not necessary for Project completion, those costs would be reimbursed by the requesting agency. c. Tustin shall furnish Irvine with a copy of any proposed change order to the construction contract, affecting Irvine, within ten (10) days of initiation of changed conditions to such contract. Irvine shall promptly review and Docusign Envelope ID: 925292DA-3C22-836C-81C8-1E9AE2ED9AFC respond to proposed change order(s) within five (5) working days of receipt by Irvine. Irvine and Tustin agree to reasonably cooperate in resolving any disputes related to proposed change orders to the construction contract. Irvine shall not unreasonably withhold written approval of any such change order. 11. Upon satisfactory completion, final inspection and acceptance by Irvine of construction activities for improvements of the Project within Irvine City limits, Irvine shall sign Project acceptance documents and assume all maintenance activities for improvements of the Project within Irvine City limits or pursuant to separate maintenance agreement between Irvine and Tustin. Irvine's signature, acceptance, and relief of maintenance in accordance with this section shall not be unreasonably withheld. 12. Agency Representatives. The following staff members or as otherwise designated in writing by the City Manager of Irvine or the City Manager of Tustin, shall be the selected representatives of each City to act on each respective City's behalf with respect to this Agreement. The aforementioned Party representatives shall collectively be referred to as the "Agency Representatives." Tustin shall indemnify, defend, save, and hold harmless the City of Irvine, and each of their elected or appointed officers, officials, volunteers, agents and employees from and against any and all loss, damages, liability, claims including but not limited to bodily injury, death, personal injury, property damages, or any other Docusign Envelope ID: 925292DA-3C22-836C-81 C8-1 E9AE2ED9AFC claims arising out of (i) breach of this Agreement by Tustin or (ii) the willful actions or active negligence or omissions of Tustin, its employees, or agents in the performance of its obligations pursuant to this Agreement, and shall include attorneys' fees and other reasonable costs incurred in defending any such claim. 14. Amendment. This Agreement may be amended at any time by the mutual consent of the Parties by a written instrument signed by the Parties. 15. Termination. This Agreement shall commence on the Effective Date and remain in effect until the Agency Representatives find the Project completed, or by mutual consent of the Parties to terminate this Agreement. 16. Entire Agreement. This Agreement represents the entire understanding of the Parties as to those matters contained herein, and no prior oral or written understanding shall be of any force or effect with respect to those matters covered in this Agreement. In the event that any one or more of the phrases, sentences, clauses, or sections contained in this Agreement shall be declared invalid or unenforceable by valid judgement or decree of a court of competent jurisdiction, such invalidity or unenforceability shall not affect any of the remaining phrases, sentences, clauses, paragraphs or sections of this Agreement which are hereby declared as severable and shall be interpreted to carry out the intent of the parties hereunder. 17. Litigation fees. Should litigation arise out of this Agreement or the performance thereof, each Party shall bear its own litigation and collection expenses, witness fees, court costs and attorney's fees. 18. Counterparts. The Agreement and any amendment hereto may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 19. In accordance with Government Code section 6505(a), the Parties shall strictly account for all funds, and all receipts and disbursements shall be reported. 20. Independent Contractor. Any contractor(s) hired to construction the Project shall not be an agent or employee of any Party and will perform such work as independent contractor. The Parties agree and intend that Irvine and Newport Beach are independent entities and do not intend by this Agreement to create any partnership, joint venture, or similar business arrangement, relationship, or association between them, except as may be agreed to expressly by this Agreement.
