HomeMy WebLinkAboutCC RES 96-0591 RESOLUTION NO. 96-59 2 A RESOLUTION OF THE CITY COUNCIL OFTHE CITY OF 3 TUSTIN, CALIFORNIA, AMENDING THE BYLAWS OF THE TUSTIN COMMUNITY FOUNDATION TO ADJUST 4 MEMBERS' TERM DATES TO COINCIDE WITH THE FISCAL YEAR OF THE CORPORATION AND ESTABLISH A NEW 5 DATE FOR THE ANNUAL MEETING. 6 WHEREAS, a regular meeting of the Board of Directors of the Tustin Community 7 Foundation, a non-profit, public benefit corporation organized under the laws of the State of California, was regularly and duly held on the 22nd day of May, 1996; and 8 WHEREAS, the Tustin Community Foundation is permitted by law to amend the 9 provisions of its bylaws insofar as to establishing new term dates of the members of the Board of Directors and setting a new annual meeting date; and 10 WHEREAS, at the regularly scheduled meeting of May 22, 1996, the Board of 11 Directors of the Tustin Community Foundation passed and adopted Resolution No. TCF96-1, amending Paragraph 2,. Section 3 of Article V; Section 1 of Article VI; and 12 Section 2 of Article VII of the bylaws of the Tustin Community Foundation; and 13 WHEREAS, pursuant to Article XIII of the bylaws, this amendment is subject to the approval of a majority of the membership of the City Council; and 14 NOW, THEREFORE, IT IS RESOLVED that Paragraph 2, Section 3 of Article 15 V; Section 1 of Article VI; and Section 2 of Article VII of the bylaws of the Tustin Community Foundation, be and are hereby amended to read as follows: 16 17 Article V, Section 3, Paragraph 2. Selection and Terms of 18 Office. 19 Terms shall begin at the first meeting of the new fiscal year, or immediately upon appointment if the appointment occurs' after the 20 first meeting of the new fiscal year. Terms shall end on June 30. 21 Article VI, Section 1. Annual'Meeting. 22 There shall be an annual meeting of the Board of Directors on the fourth Wednesday in July each year. Such meeting shall be for the 23 purpose of seating new Directors, electing Officers, and for the transaction of such other business as may come before the Board. 24 Article VII, Section 2. Election. 25 The Board of Directors shall elect all officers of the corporation for 26 terms of one year, or until their successors are elected and qualified. The annual election shall be held on the fourth 27 Wednesday in July.
