Washington, D.C. 20036 Attn: Mr. George Schlossberg, Esq. ~rsz,z • FILE COPY Recorded in Official Records, County of Orange Tom Daly, Clark-Recorder IIIIIIIIilllllllllilllllllllllllillllll~lllillllillll(IIIIIIIIIIIINO FE ~~ 20040001~806710.12am 03!03 130 42 E01 A04 5 o.oo o.oo o.oo o.oo o.oo o.oo o.oo o.oo This Space is Reserved for Recorders Use Only `~ :,. -_ ~. i ~~ 7S 1 ~_ :~,. 1 QUITCLAIM DEED OF UTILITY EASEMENT ~- f ~ '~ 2 _ , .,. 3 THIS QUITCLAIM DEED OF EASEMENT, made this ;' G t day of G c y 2004 by 4 and between the UNITED STATES OF AMERICA, acting by and through the SEA C~tETARY 5 OF THE ARMY, (hereinafter referred to as the GRANTOR"), under and pursuant to the Federal 6 Property and Administrative Services Act of 1949, as amended 40 U.S.C. §484, and the delegation 7 of authority to the Secretary of Defense from the Administrator of General Services (41 C.F.R. 101- 8 47.601), and the delegation of authority from the Secretary of Defense to the Secretary of the Army 9 (20 F.R. 7113), and the CITY OF TUSTIN, CALIFORNIA, recognized as the Local 10 Redevelopment Authority by the Office of Economic Adjustment on behalf of the Secretary of 11 Defense for the former Marine Corps Air Station Tustin (hereinafter referred to as the 12 "GRANTEE"). 13 14 WITNESSETH THAT: 15 16 WHEREAS, GRANTOR and the GRANTEE have entered into a Memorandum of 17 Agreement Between the United States of America Acting By and Through the Secretary of the 18 Army or Designee and the City of Tustin, California, dated the 21st day of September, 2000 19 (hereinafter referred to as the "MOA"); 20 21 WHEREAS, Article 8 of the MOA provides that the Easement, as defined below, is 22 granted, remised, released, and forever quitclaimed by the GRANTOR to the GRANTEE to allow 23 the operation, maintenance and installation of utilities by the GRANTOR as required for the 24 development of the former MCAS Tustin; 25 26 NOW, THEREFORE, the GRANTOR, for good and valuable consideration does hereby 27 grant, remise, release, and forever quitclaim unto the GRANTEE, its successors and assigns, in 28 perpetuity, an assignable easement ("Easement") over, under, through and across all such interest, 29 rights, title, and claim as the GRANTOR has in and to the Property, more particularly described in 30 Exhibit "A," which is attached hereto and made a part hereof, to access, operate and maintain, 31 use, construct, repair, replace and install all utilities owned by the GRANTEE that aze located on 32 the Property, or to be constructed on the Property, including, but not limited to certain natural 33 gas, water, telephone, cable television, and electric distribution systems, together with storm 34 drainage and sewage systems. 03-37063.6 MCAS TUSTIN: GRANT OF UTILITY EASEMENT 1 2 This conveyance is made subject to the following reservations and easements: 3 4 (1} All existing exceptions, reservations, restrictions, covenants, conditions and 5 easements of record. 6 (2) Covenanting to the GRANTOR, and its assigns, the promissory right and easement 7 for ingress and egress to permit the GRANTOR access to its adjoining land. 8 9 II. Property Conveyed "As Is" "Where Is" 10 11 Except as expressly provided for herein, the Easement is conveyed in an "as is", "where is" 12 condition, without any representation or warranty whatsoever by the GRANTOR concerning the 13 state of repair or condition of said Property. 14 15 III. Environmental Issues 16 17 GRANTOR covenants that any remedial action due to the former military activity on the 18 Property found to be necessary after such date of transfer shall be performed by the United 19 States. 20 21 IV. Notice of Non-Discrimination 22 23 With respect to activities related to the Property, the GRANTEE covenants for itself, its 24 successors and assigns that the GRANTEE, and such successors and assigns shall not discriminate 25 upon the basis of race, color, religion, sex, age, handicap, or national origin in the use, occupancy, 26 sale or lease of the Property, or in their employment practices conducted thereon in violation of the 27 provisions of Title VI of the Civil Rights Act of 1964, as amended (42 U.S.C. Section 2000d); the 28 Age Discrimination Act of 1975 (42 U.S.C. Section 6102); and the Rehabilitation Act of 1973, as 29 amended (29 U.S.C. Section 794). The Army shall be deemed a beneficiary of this covenant 30 without regard to whether it remains the owner of any land or interest therein in the locality of the 31 Property hereby conveyed, and shall have the sole right to enforce this covenant in any court of 32 competent jurisdiction. 33 34 THE CONDITIONS, RESTRICTIONS, and COVENANTS set forth in this Easement 35 are a binding servitude on the herein conveyed Property and will be deemed to run with the land in 36 perpetuity. Restrictions, stipulations and covenants contained herein will be inserted by the 3 7 GRANTEE verbatim or by express reference in any deed or other legal instrument by which it 38 divests itself of either the Easement or any other lesser estate in the Property or any portion thereof. 39 All rights and powers reserved to the GRANTOR, and all references in this Easement to 40 GRANTOR shall include its successor in function.
