The GRANTEE has requested conveyance from the GRANTOR of a portion of the former Marine Corps Air Station Tustin, ("MCAS Tustin") which was closed pursuant to and in accordance with the Defense Base Closure and Realignment Act of 1990, as amended (Pub. L. No. 101-510; "Base Closure Act") and which is no longer required for military purposes; and B. The GRANTOR is authorized to convey property at MCAS Tustin to the GRANTEE pursuant to 2905(b )(7) of the Defense Base Closure and Realignment Act of 1990, Public Law 101-510, 10 V.S.C. 2687 note; and 25 C. The GRANTOR has completed remedial actions on the property at MCAS Tustin 26 to be conveyed to GRANTEE that are necessary to provide the covenant required by the 27 Comprehensive Environmental Response, Compensation and Liability Act ("CERCLA") 42 28 V.S.C. Section 9620 (h)(3)(A)(ii); and 4842-5702-7328.2 MCAS TUSTIN QUITCLAIM DEED FOR LOTS 21, 24, 28, 29, AND E OF TRACT 16695 Page 2. I 2 3 D. The GRANTOR has found and determined that the property at MCAS Tustin to be conveyed to GRANTEE is suitable for transfer pursuant to a Finding of Suitability for Transfer ("FOST") dated March 3, 2006; and 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 37 38 39 40 41 42 E. The GRANTOR and the GRANTEE have entered into the Agreement between the United States of America and the City of Tustin, California, for the Conveyance of a Portion of the Former Marine Corps Air Station Tustin (the "Agreement"), which sets forth the terms and conditions of the conveyance of portions of MCAS Tustin from the GRANTOR to the GRANTEE. NOW THEREFORE, the GRANTOR, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby remise, release and forever quitclaim to the GRANTEE, all of GRANTOR's right, title and interest in and to that certain real property, comprising approximately 7.4-acres, more or less (hereinafter "Property"), as more particularly described as Lots 21, 24, 28, 29, and E of Tract 16695 in Exhibit "A" and by this reference made a part hereof. 1. TOGETHER WITH all of GRANTOR's right, title and interest in and to: 1.1. All buildings, facilities, roadways, and any other improvements on the Property, 1.2 All hereditaments and tenements therein and reversions, remainders, issues, profits, privileges and other rights belonging or related thereto, 1.3 All rights to minerals, gas, oil, and water. 2. SUBJECT TO THE FOLLOWING COVENANTS, RESTRICTIONS, AND CONDITIONS, which shall be binding upon and enforceable against the GRANTEE, its successors and assigns, in perpetuity, AND TO THE FOLLOWING NOTICES: 2.1 The GRANTEE agrees to accept conveyance of the Property subject to all covenants, conditions, restrictions, easements, rights-of-way, reservations, rights, agreements, and encumbrances of record, pertaining to the Property. 2.2 A FOST has been completed and an Environmental Baseline Survey ("EBS") report is referenced in the FOST. The FOST and EBS reference environmental conditions on the Property and on other property not subject to this Deed. GRANTEE acknowledges that it has received copies of the EBS and the FOST; that it is aware of the notifications therein; and that all documents referenced therein have been made available to GRANTEE for inspection and copying. 2.3 Except as otherwise provided herein, or as otherwise provided by law, the GRANTEE acknowledges that it has inspected, is aware of, and accepts the condition and state 4842-5702-7328.2 2 MCAS TUSTIN QUITCLAIM DEED FOR LOTS 21, 24, 28, 29, AND E OF TRACT 16695 Page 3. I of repair of the Property, and that the Property is conveyed "as is" and "where is" without any 2 representation, promise, agreement, or warranty on the part of the GRANTOR regarding such 3 condition and state of repair, or regarding the making of any alterations, improvements, repairs 4 or additions. Except for the environmental remediation which may be required to be undertaken 5 by GRANTOR pursuant to paragraph 2.5 below, the GRANTEE further acknowledges that the 6 GRANTOR shall not be liable for any latent or patent defects in the Property except to the extent 7 required by applicable law. 8 9 2.4. Groundwater Monitoring Well: 10 11 2.4.1. GRANTOR has installed Monitoring Well I005MW-07S, together with 12 associated equipment on the Property. The location of said well and associated equipment is 13 shown on Exhibit "B," attached hereto and made a part hereof. GRANTEE, its successors and 14 assigns, shall not alter, disturb or remove said well or equipment without the prior written 15 approval of GRANTOR, United States Environmental Protection Agency, California Department 16 of Toxic Substance Control, and Regional Water Quality Board, Santa Ana Region (collectively 17 "Cognizant Regulatory Agencies"). 18 19 2.4.2. The environmental restrIctions ill Section 2.4.1 ("Environmental 20 Restrictions") are imposed upon, run with, and shall pass with the Property pursuant to 21 California Civil Code 91471 and may be released at such time as the GRANTOR and the 22 regulatory agencies that have jurisdiction have determined that the Environmental Restrictions 23 are no longer required. Upon receipt of such written confirmation, the GRANTOR shall deliver 24 to the GRANTEE in recordable form, a release (the "Release") relating specifically to the 25 Environmental Restrictions set forth in this Deed. The execution of the Release by the 26 GRANTOR shall remove all notices and restrictions relating to the monitoring well and 27 Environmental Restrictions from the title to the Property. 28 29 2.4.3. The GRANTOR and the regulatory agencies that have jurisdiction, 30 including any contractor or representative acting at the direction of any such aforementioned 31 entity, shall have a reasonable right of entry and access to the portions of the Property described 32 in subparagraph 2.4.1 for purposes of sampling, inspection, monitoring, maintenance, well 33 closure, and other activities relating to Monitoring Well1005MW-07S and associated monitoring 34 or other equipment. The GRANTOR and the regulatory agencies that have jurisdiction shall 35 provide the GRANTEE and its successors and assigns with prior written notice of such activities 36 and make reasonable efforts to minimize interference with the ongoing use of the Property. 37 38 2.5. CERCLA Notices And Covenants: 39 40 2.5.1 Notices: Hazardous Substance Notification. Pursuant to 42 U.S.C. 9 41 9620(h)(3)(A), and the provisions of 40 C.F.R. Part 373, the Grantor hereby gives notice that 42 hazardous substances were stored for one year or more, released or disposed of on the Property. 43 The information contained in this notice is required by regulations promulgated under Section 4842-5702-7328.2 3 MCAS TUSTIN QUITCLAIM DEED FOR LOTS 21, 24, 28, 29, AND E OF TRACT 16695 Page 4. I 120(h) of the Comprehensive Environmental Response, Liability, and Compensation Act 2 (CERCLA or "Superfund"), 42 V.S.C. S 9620(h). The Grantor has made a complete search of its 3 files and records concerning the Property. Based on that search, the type and quantity of such 4 hazardous substances, the time at which such storage, release or disposal took place, to the extent 5 such information is available, and a description of the remedial action taken, if any, is contained 6 in Exhibit "C," attached hereto and made a part hereof. 7 8 2.5.2. Grant of Covenant [CERCLA 42 V.S.C. Section 9620(h)(3)(A)(ii)(I)). 9 The GRANTOR covenants and warrants that all remedial action necessary to protect human 10 health and the environment with respect to any hazardous substance remaining on the Property II has been taken before the date of transfer. 12 13 2.5.3. Additional Remediation Obligation [CERCLA 42 U.S.C. Section 14 9620(h)(3)(A)(ii)(II)). The GRANTOR covenants and warrants that GRANTOR shall conduct 15 any additional remedial action found to be necessary after the date of transfer for any hazardous 16 substance existing on the Property prior to the date of this Deed. This covenant shall not apply 17 to the extent that the GRANTEE caused or contributed to any release or threatened release of any 18 hazardous substance, pollutant, or contaminant. 19 20 2.5.4. Access [CERCLA 42 U.S.c. Section 9620(h)(3)(A)(iii)). In connection 21 with GRANTOR's covenant in 2.5.2 above and in connection with ongoing remediation on 22 GRANTOR's property adjacent to the Property, GRANTEE agrees that GRANTOR, its agents, 23 shall have the right, upon reasonable notice to GRANTEE, to enter upon the Property in any case 24 in which a response action, or corrective action is found to be necessary at such property after the 25 date of this deed, or such access is necessary to carry out a response action, or corrective action 26 on adjoining property. GRANTEE shall not have any claim on account of such entries against 27 the GRANTOR or any of its agents. In exercising its right of access, except in case of imminent 28 and substantial endangerment to human health or the environment, the GRANTOR (I) shall give 29 the GRANTEE reasonable notice of any action to be taken related to such remedial or corrective 30 actions on the Property, and (2) make reasonable efforts to minimize interference with on going 31 use of the Property. Furthermore, the GRANTOR and GRANTEE agree to cooperate in good 32 faith to minimize any conflict between the necessary environmental investigation and 33 remediation activities and the use of the Property by GRANTEE, its successors and assigns. 34 Any inspection, survey, investigation or other response, corrective or remedial action undertaken 35 by GRANTOR will, to the maximum extent practical, be coordinated with representatives 36 designated by the GRANTEE. 37 38 2.6. Non-Discrimination. GRANTEE covenants for itself, its successors and assigns, 39 that it will comply with all applicable provisions of the Civil Rights Act of 1964, section 504 of 40 the Rehabilitation Act of 1973, and the Age Discrimination in Employment Act of 1975 in the 41 use, occupancy, sale or lease of the Property. The foregoing shall not be construed to prohibit 42 the operation of Federal or State approved programs focusing on the special needs of the 43 homeless, veterans, victims of domestic violence and other classes of persons at risk; nor shall it 4842-5702-7328.2 4 MCAS TUSTIN QUITCLAIM DEED FOR LOTS 21, 24, 28, 29, AND E OF TRACT 16695 Page 5. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 37 38 39 40 be construed to prohibit employment practices not otherwise prohibited by law. The GRANTOR shall be deemed a beneficiary of this covenant without regard to whether it remains the owner of any land or interest therein in the locality of the Property hereby conveyed and shall have the sole right to enforce this covenant in any court of competent jurisdiction. 2.7. NO HAZARD TO AIR NAVIGATION: GRANTEE covenants for itself, its successors and assigns, that in connection with any construction or alteration on the Property, it will obtain a determination of no hazard to air navigation from the Federal Aviation Administration in accordance with Title 14, Code of Federal Regulations, part 77, entitled "Objects Affecting Navigable Airspace," or under the authority of the Federal Aviation Act of 1958, as amended. 3. THE CONDITIONS, RESTRICTIONS, RESERVATIONS, AND COVENANTS set forth herein are a binding servitude on the Property, shall inure to the benefit of GRANTOR and GRANTEE and their respective successors and assigns, and will be deemed to run with the land in perpetuity, pursuant to California Civil Code sections 1462 and other applicable authority. 4.
