The GRANTOR requested from the United States of America (hereinafter the ] 8 "Government") conveyance of a portion of the fonner Marine Corps Air Station Tustin, ("MCAS ] 9 Tustin") which was closed pursuant to and in accordance with the Defense Base Closure and 20 Realignment Act of 1990, as amended (Pub, L. No. /01-510; "Base Closure Act") and which is 2] no longer required for military purposes; and 22 23 B. The Government has found and detem1ined that the property at MCAS Tustin 24 conveyed to GRANTOR is suitable for transfer pursuant to a Finding of Suitability for Transfer 25 ("FOST') dated April 22, 2002; and 26 27 C. The Govenunent conveyed the Property to the GRANTOR by Quitclaim Deed dated ~ .?(" 2003; and E. The GRANTOR and GRANTEE bave entered into that certain agreement dated February 28, 2002 obligating the GRANTOR to convey the Property to the GRANTEE. NOW THEREFORE, the GRANTOR, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby remise, release and forever quitclaim to the GRANTEE, all of GRANTOR's right, title and interest in and to that certain real property, comprising approximately 2.56 acres, more or Jess (hereinafter "Property"), as more particularly described as Parcel II-F-2 in Exhibit "A." 1. TOGETHER WITH: 1.1. All buildings, facilities, roadways, rail lines, and other improvements on the Property, but excluding the entire MCAS Tustin storm drainage systems, sewer systems, and the electrical, natural gas, telephone, and water utility distribution systems located thereon, and 1.2 All hereditaments and tenements therein and reversions, remainders, ISSUes, profits, privileges and other rights belonging or related thereto. 2. SUBJECT TO THE FOLLOWING NOTICES, COVENANTS, RESTRICTIONS, AND CONDITIONS, which shall be binding upon and enforceable against the GRANTEE, its successors and assigns, in perpetuity: 2.1 The GRANTEE agrees to accept conveyance of the Property subject to all covenants, conditions, restrictions, easements, rights-of-way, reservations, rights, agreements, and encumbrances of record. 2.2 The GRANTOR reserves unto itself, its successors and assigns, a nonexclusive easement ("Easement") over, under and through the Property to access, use, install, maintain, operate, construct, replace, and repair certain natural gas, water, telephone, cable television, and electric utility distribution systems, together with storm drainage and sewerage systems owned by the GRANTOR (the "Systems"). Grantor and Grantee have not been able to prepare maps or drawings describing the location and extent of the Systems prior to the execution of this Easement, therefore, the exact location of this Easement right is unknown, but shall be cotenninous with the actual location of the Systems and shall extend to the minimum of amount of space actually required to access, use, install, maintain, operate, replace, upgrade and repair such existing Systems. 03,825]8,2 " 40 . ! The GRANTOR has 3 no knowledge regarding the accuracy of information provided by the Government regarding tile 4 environmental condition of the Property and makes no warranties regarding the environmental 5 conditions on the Property. The GRANTOR has no knowledge regarding the accuracy or 6 adequacy of the Government's remediation of the Property as provided in the deed conveying tile 7 Property to the GRANTOR, and GRANTOR has taken no steps to abate any such conditions. 8 The GRANTOR has no actual knowledge of any false, misleading or materially incomplete or 9 inaccurate statements with regard to the Government information or the accuracy or adequacy of 10 the Government's remediation of the Property, or of any omission ofa material fact pertaining to ] 1 same, and the GRANTOR has not received notice from any person that the Government 12 information is false, misleading or omits to state a material fact. 13 14 2.4 The italicized information below is copied verbatim (except as discussed below) 15 from the Government deed conveying the Property to the GRANTOR. The GRANTEE hereby 16 acknowledges and assumes all responsibilities with regard to the Property placed upon the 17 GRANTOR under the terms of the aforesaid Government deed to GRANTOR. Within the 18 italicized infonnation only, the lenn "GRANTOR" shall mean the Government, and the term 19 "GRANTEE" shall mean the City of Tustin; to avoid confusion, the words "the Government" 20 have been added in parenthesis after the word "GRANTOR, and "Tustin" has been added in 2] parenthesis after the word "GRANTEE". 22 23 "2.2 A FOST has been completed and an Environmental Baseline 24 Survey ("EBS") report is referenced in the FOST. The FOST and EBS reference 25 environmental conditions on the Property and on other property not subject to 26 this Deed. GRANTEE (Tustin) acknowledges that It has received copies of the 27 EBS and the FOST and that all documents referenced therein have been made 28 available to GRANTEE (Tustin) for inspection and copying. " 29 30 "2,3 Except as othen,,'ise provided herein, or as otherwise provided by 31 law, the GRANTEE (Tustin) acknowledges that it has inspected, is aware oj and 32 accepls the condition and state of repair of the Property, and that the Property is 33 conveyed "as is" and ")1here is" without any representation, promise, 34 af',reement, or warranty an the part o( the GRANTOR (Governmp.ll() menrding 35 such condition and state of repair, or regarding the making of any alterations, 36 improvements, repairs or additions. Except for the environmental remediation 37 HIlich may be required to be underraken by GRANTOR (Government) pursuant to 38 paragraph 2.4 below, the GRANTEE (Tustin) further ocl-:nowledges that the 39 GRANTOR (Government) shall not be liable for any latent or patent defects in the 40 Property except to the extent required by applicable law. Notices: Hazardous Substance Notification. Pursuant to 42 U.S.c. f 9620(h){3){A), and the provisions of 40 C.F,R. Part 373, the GRANTOR has made a complete search of its files and records concerning the Property and hereby gives notice that based on that research no hazardous substances were stored, released, or disposed of on the Property. "2.4.2. Gram of Covenant [CERCLA 42 U.S.c. Section 9620 (h}(3}(A}(ii){I)). The GRANTOR (Government) covenants and warrants that all remedial action necessary to prolecl human health and the environment with respect to any hazardous subs/once remaining on the Property has been taken before the date of transfer. " "2.4.3. Additional Remediation Obligation ICERCLA 42 U.S.c. Section 9620 (h}(3){A)(ii)(II)). The GRANTOR (Government) covenants and warrants that GRANTOR (Governmen/) shall conduct any additional remedial action found to be necessary after the date oj transfer Jar any hazardous substance existing on the Property prior to Ihe date oJthis Deed. This covenant shall not apply to the extent that Ihe GRANTEE (Tustin) caused or contributed to any release or threatened release of any hazardous subslance, pollutant, or contaminant. " ,"2.4.4. Neither GRANTEE (Tustin), nor its successors and assigns, shall have any claim on account oj such entries against the United Slates or any of its officers, agents, employees, contractors or subcontractors. The right to enter shall include the right to conduct tests, investigalions and surveys, including, where necessary, drilling, lest-pitting, boring and other similar activities. Such right shall also include the right to construct, operale, maintain or undertake any other response or corrective action as required or necessary, including, but not limited to monitoring wells, pumping ,,'ells, trealment facilities, and the instaI/ation oj associated utilities. In exercising these rights of access, except in case oj imminent and substantial endangerment to human health or the environment, the GRANTOR (Government) (1) shall give the GRANTEE (Tustin) reasonable notice of any action to be taken reloled to such remedial or corrective actions on the 03,82518.2 " 6 ! Property, and (2) make reasonable efforts to minimize interference with the on- going use of the Property, Furthermore, the GRANTOR (Government) and GRANTEE (Tustin) agree to cooperare in good faith to minimize any conflict between the necessary environmental investigation and remediation activities and the GRANTEE's (Tusti'f) use of the Property. Any inspection, survey, investigation or other response, corrective or remedial action undertaken by GRANTOR will. to the maximum extent practical, be coordinated with representatives desig>(ated by the GRANTEE (Tustin). In connection with GRANTOR's (Government) remedial actions described above, GRANTEE (Tustin) agrees on behalf of itself, its successors and assigns, as a covenant running with the land. to comply wirh the provisions of any health or safety plan in effect during the course of any such action. " "2.5. Indemnification Regardillg Transferees. The GRAhTOR (Government) hereby recognizes its obligations under Section 330 of the National Defense Authorization Act of 1993 (Pub. L 102-484), as amended. regarding indemnification of transferees of closing Department of Defense property. " "2.6. NOll-Discrimination. GRANTEE (Tusrin) covenanrs for itself, its successors and assigns, that it will comply v..-ith all applicable provisions of the Civil Rights Act of 1964. section 504 of the Rehabilitation Act of 1973, and the Age Discrimination in Employmenr Act of 1975 in the use, occupancy, sale or lease of the Property. The foregoing shall not be construed ta prahibit the operation offederal or state approved programs focusing on the special needs of the homeless. veterans, victims of domestic violence and ather classes of persans at risk; nor shall it be construed to prohibit employment practices not other;dse prohibited by law. The GRANTOR (Government) shall be deemed a beneficiary of this covenant without regard to whether it remains the .owner of any land or interest therein in the locality of the Property hereby conveyed and shall have the sole right to enforce this covenant in any court of competent jurisdiction. " "2.7. No Hazard to Air NavigatiOlt: GRANTEE (Tustin) caven ants for itself, its successors and assigns. that in connection with any constructian or alteration on the Property, it will obtain a determination of na hazard to air navigation from the Federal Aviation Administration in accordance with Title 14, Code of Federal Regulations, part 77. entitled "Objects Affecting Navigable Airspace." or under the authority oj the Federal Aviation Act oj 1958, as amended. " "3. THE CONDITIONS, RESTR1CTIONS, RESERVATIONS, AND COVENANTS set forth herein are a binding servitude an the Property, shall inure to the benefit of GRANTOR (Government) and GRANTEE (Tustin) and their respective successors and assigns, and will be deemed to run with the land in 03-82518.2 . GRANTOR and its successors and assigns, respectively, shall not be liable for any breach of such responsibilities and obligatians with regard to the Property arising from any matters or events occurring after transfer of ownership of the Property by GRANTOR or its successors and assigns, respectively; provided, however, that each such party shall, notwithstanding such transfer, remain liable for any breach of such responsibilities and obligations to the extent caused by the fault or negligence of such party.
